ATMOSPHERIC BENEFITS. ‌ The Parties shall pursue best efforts to support BRFN development of a carbon offset project, subject to Applicable Law, to capture, to the greatest extent possible, the economic value of the Atmospheric Benefits, whereunder inter alia, it shall be provided that BRFN shall have a: (i) 100% ownership of the Atmospheric Benefits within Area 1; and (ii) a substantive ownership of the Atmospheric Benefits in the balance of the Claim Area, subject to subsequent agreement between the Parties to be completed on or before December 31, 2023, related to a future carbon offset project, including without limitation, the rights to manage and sell carbon offsets of that project. Should the Parties be unable to agree upon the percentage ownership or other matters through project design, they will proceed to issue resolution as set forth in Article 22.
