Audit Responsibility and Control. Except as otherwise provided in this Agreement, Distributing shall have sole responsibility for and control over all audits, appeals or litigation with respect to any Income Tax Returns that include periods through August 31, 2000, whether or not those periods constitute fiscal periods, and any Tax Return that it is required to file under this Agreement. Controlled shall have sole responsibility and control over all audits, appeals or litigation with respect to any Tax Return that it is required to file under this Agreement.
