Common use of AUDITING, RECORDS, AND INSPECTION Clause in Contracts

AUDITING, RECORDS, AND INSPECTION. In the performance of this Contract, CONTRACTOR shall keep books, records and accounts of all activities, related to the Contract, in compliance with generally accepted accounting procedures. Throughout the term of this Contract, books, records and accounts related to the performance of this Contract shall be open to inspection during regular business hours by an authorized representative of OWNER and shall be retained by CONTRACTOR, for a period of three years after termination or completion of the Contract or until the full OWNER audit is complete, whichever comes first. The OWNER shall retain the right to audit the books during the three-year period. All books, records and accounts related to the performance of this Contract shall be subject to the applicable provisions of the Florida Public Records Act, Chapter 119, Florida Statutes. The OWNER also has the right to conduct and audit within sixty (60) days from the effective date of this Contract to determine whether CONTRACTOR has the ability to fulfill its contractual obligations to the satisfaction of the OWNER. The OWNER has the right to terminate this Contract based upon the findings in this audit without regard to any notice requirement for termination.
