Authority of Lessee. Lessee shall furnish to Lessor within fifteen (15) days after request from Lessor such corporate resolutions, certificates of incumbency, partnership resolutions, partnership agreements, legal opinions or other information as Lessor may reasonably request in order to confirm that the execution and delivery of this lease has been duly authorized by Lessee and that the person(s) executing this lease on behalf of Lessee were duly authorized to do so. All such corporate or partnership resolutions, certificates or agreements shall be certified as being duly adopted and/or in full force and effect, without amendment, by an appropriate officer or partner of Lessee.

Authority of Lessee. The Executive Director of the Lessee is authorized to execute this Lease on behalf of the Lessee.
Authority of Lessee. If Lessee is a corporation, each individual executing this Lease on behalf of Lessee hereby covenants and warrants that Lessee is a duly authorized and existing corporation, the Lessee has and is qualified to do business in California, that the corporation has full right and authority to enter into this Lease and that each person signing on behalf of the corporation is authorized to do so. If Lessee is a partnership, limited liability company or trust, each individual executing this Lease on behalf of Lessee hereby covenants and warrants that he or she is duly authorized to execute and deliver this Lease on behalf of Lessee in accordance with the terms of such entity’s partnership, operating or trust agreement. Lessee shall provide Authority on demand with such evidence of such authority as Authority shall reasonably request, including without limitation, resolutions or certificates.
Authority of Lessee. Lessee covenants, represents and warrants that: (a) The execution, delivery and performance of this Ground Lease by Lessee/Developer have been authorized by all necessary action on the part of Lessee/Developer; (b) This Ground Lease constitutes a legal, valid, and binding obligation of Lessee/Developer enforceable in accordance with its terms subject to equitable principles, which could affect specific performance; and (c) Lessee/Developer has the authority to lease the Premises from Lessor.
Authority of Lessee. If Lessee is a corporation, each individual executing this Lease on behalf of that corporation shall provide satisfactory evidence verifying that they have been duly authorized to execute and deliver this Lease on behalf of the corporation, in accordance with the bylaws of the corporation, and the corporation warrants and represents that this Lease is binding on the corporation.
Authority of Lessee. Each individual executing this Lease on behalf of Lessee represents and warrants that he is duly authorized to execute and deliver this Lease on behalf of Lessee in accordance with a duly adopted resolution of the Board of Directors or the By-Laws of Lessee, and that this Lease is binding upon said corporation in accordance with its terms. Simultaneously with the execution of this Lease, Lessee shall deliver to Landlord a certified copy of a resolution of the Board of Directors of said corporation authorizing or ratifying the execution of this Lease.
