Authorizations and Permits. GW warrants that it and/or its Approved Subcontractors hold all necessary Registrations for the country or countries where such Processing takes place at the Effective Date. GW covenants to continue to hold and/or ensure its Approved Subcontractors continue to hold all necessary Registration for the country or countries where Processing takes place after the Effective Date. GW shall provide copies of any such Registrations to NOVARTIS upon NOVARTIS’ request. Without prejudice to any of NOVARTIS’ other rights under this Agreement, GW shall inform NOVARTIS promptly in writing in the event any such Registration is not obtained or is withdrawn or otherwise under investigation.
Authorizations and Permits. (i) Maintain in full force and effect all authorizations, waivers, consents, licenses, permits (including all Environmental Permits), orders and approvals and make or cause to be made all registrations, filings, permit transfers (including any Environmental Permit transfers) and notices with or to all third parties and Governmental Authorities necessary or appropriate for Terra to provide Services and (ii) with respect to any such authorizations, waivers, consents, permits, orders and approvals that shall materially affect the manner in which Methanex operates the Beaumont Facility. Without limiting the generality of the foregoing, Terra shall cause any and all required authorizations, waivers, consents, licenses, permits (including Environmental Permits) orders and approvals (and filing all applications in connection therewith) be obtained in order to (i) provide vessel or barge off-loading at the DuPont Wharf at a rate of 1,000 metric tonnes per hour; and (ii) dredge the dock at the DuPont Wharf.
Authorizations and Permits. Section 3.17(a) of the Disclosure Schedule accurately lists each material consent, license, permit, grant or other authorization issued to the Company by a Governmental Entity (i) pursuant to which the Company currently operates or holds any interest in any of its properties or (ii) which is required for the operation of their business or the holding of any such interest (herein collectively called "Company Authorizations"). The Company Authorizations are in full force and effect.
Authorizations and Permits. Seller and Municipality represent that (i) Schedule 4.14 lists or describes the Authorizations and Permits of Seller that are currently in full force and effect; (ii) the Seller has made true and complete copies of all Authorizations and Permits available to Buyer; and (iii) except as set forth on Schedule 4.14, the Seller and Municipality are in compliance in all respects with all terms, conditions and requirements of all Authorizations and Permits, and no proceeding is pending or, to the knowledge of the Seller or Municipality threatened relating to the revocation or limitation of any of the Authorizations or Permits.
Authorizations and Permits. 5.1. FlyingGroup covenants to timely apply for the authorizations or permits from governmental or other authorities necessary for the performance of the flight(s) considered under the flight schedule as requested by the Charterer. However, FlyingGroup will not be liable for any refusal, untimely granting or cancellation of authorization or permit provided that FlyingGroup has processed the applications within the time frames as published from time to time in the official publications.
5.2. The Charterer undertakes to provide FlyingGroup with the flight schedule with sufficient prior notice enabling FlyingGroup to process the applications within the time frames as published from time to time.
Authorizations and Permits. To the best knowledge and belief of the Seller, the Companies own or have under their name every authorization and permit necessary to use the term “Petrobras” in their company name, trademarks, logotypes or other intellectual and industrial property rights related to said term or to phrases that include it. They own or lease, manage and use their assets and goods and carry out their activities as they are currently doing, except for the authorizations and permits, the absence of which is not susceptible to have a Material Adverse Effect. To the best knowledge and belief of the Seller, the Companies do not violate or infringe any authorization or permit that may reasonably have, individually or as a whole, a Material Adverse Effect or that may significantly interfere with the performance of the transactions herein mentioned.
Authorizations and Permits. Each Group Company has regularly obtained and is currently in possession of all the material Permits which may be necessary for the performance of its business and its activities as currently conducted in compliance with all applicable Laws. No Group Company is in material violation or default under (and no event has occurred that, with notice or the lapse of time or both, would constitute a default or violation of) any material Permit. No Action is pending or, to the Sellers’ Knowledge, threatened against any Group Company to terminate, revoke, suspend, limit or modify any material Permit.
Authorizations and Permits. The Company and each Subsidiary possess such valid and current certificates, authorizations or permits issued by the appropriate state, federal or foreign regulatory agencies or bodies necessary to conduct their respective businesses, and neither the Company nor any Subsidiary has received, or has any reason to believe that it will receive, any notice of proceedings relating to the revocation or modification of, or non-compliance with, any such certificate, authorization or permit which, singly or in the aggregate, if the subject of an unfavorable decision, ruling or finding, could result in a Material Adverse Effect.
Authorizations and Permits. The Companies have obtained all necessary licenses, permits and authorizations, including licenses, permits and authorizations of governmental authorities, to conduct any material part of their business operations as presently being conducted and they are in compliance with the terms thereof in all material respects. All such licenses, permits and authorizations are fully valid, in effect and fully paid. Schedule 3(d) lists all such licenses, permits and authorizations obtained by the Company or Subsidiary, including without limitation the license to operate in the free trade zone in Izmir, Turkey and thereby obtain the benefits under Turkish Law 3218.
Authorizations and Permits. Novartis and Institution represent and warrant that on the Effective Date and throughout the Term, parties hold all licenses and any other approvals, permits, or exemptions from any Regulatory Authority which are required to perform their respective obligations under this Agreement and have paid all fees due in relation to them and are not in material breach of any conditions under them. Without prejudice to any of parties’ other rights hereunder, either party shall inform the other party promptly in writing if any such license or other approvals or permits are not obtained in a timely manner or are withdrawn or otherwise under investigation.
