Back-End Transition Services. During the Transition Period, the Operator will provide such transition services to accomplish the smooth transition of the operations away from the Operator and continued safe and reliable operation of the System (the “Back-End Transition Services”). The Parties shall negotiate in good faith, together with the Successor Operator, a transition services agreement for such purposes. To the extent necessary to give effect to the immediately preceding sentence, the provisions of Section 9.2 hereof and Articles 5, 7, 8 and 10 hereof, shall survive the termination of this Agreement. Back-End Transition Services. The Service Provider shall perform Back-End Transition Services in accordance with Section 9.2 hereof from the date of any notice delivered under Section 8.5(B)(1) hereof (or, if applicable, from the date the two (2) months period set forth therein expires) until the later of (a) the termination of this Agreement and (b) twenty-four (24) months after such date of notice (or, if applicable, after such date of expiration of the two (2) months period). To the extent necessary to give effect to the immediately preceding sentence, the provisions of Section 9.2 hereof and Articles 5, 7, 8 and 10 hereof, shall survive the termination of this Agreement. This Section 8.5(B)(5) shall not apply to termination in connection with a Regulatory Oversight Change. Prior to termination of this Agreement pursuant to Section 8.5(B)(1) hereof, the Parties shall negotiate in good faith, together with the successor service provider, a transition services agreement that would take effect after such termination.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Network Services Local Access Services In lieu of any other rates and discounts, Customer will pay fixed monthly recurring local loop charges ranging from $1,200 to $2,000 for TDM-based DS-3 Network Services Local Access Services at 2 CLLI codes mutually agreed upon by Customer and Company.
