BASIS OF SERVICES. 2.1 The Customer has requested Sonardyne to supply the services of an engineer/s (“Engineer”) to perform the services stated in Schedule 1 (“Services”). The Schedules, together with these terms and any further documents expressly incorporated in Sonardyne’s Order Acceptance or Confirmation comprise the provisions of the contract between the parties (“Agreement”).

BASIS OF SERVICES. Transportation services hereunder are provided on a Firm basis for the Demand Quantity, on an Interruptible basis for the Interruptible Quantity and on an Interruptible basis for any Authorized Overrun Quantities, and in the latter two instances interruption shall be as provided in the Operating Statement. Firm Transportation service hereunder shall be subject to curtailment or interruption as provided in Section 15 (Force Majeure) and Section 6 (Priority of Service) of the Operating Statement.

  • Performance of Services The Contractor is responsible for fully meeting all obligations set forth in the Contract and for providing Product in accordance with the Contract or any Authorized User Agreement.

  • Extent of Services Executive will devote all of his working time, attention and skill to the duties and responsibilities set forth in Section 3. To the extent that such activities do not interfere with his duties under Section 3, Executive may participate in other businesses as a passive investor, but (a) Executive may not actively participate in the operation or management of those businesses, and (b) Executive may not, without the Company’s prior written consent, make or maintain any investment in a business with which the Company or its subsidiaries has an existing competitive or commercial relationship.

  • Duration of Services Any individual Service in this Section B shall terminate upon the earliest to occur of (a) 9 months following the Distribution, (b) five days following written notice of termination of such Services by Spinco to GGP and (c) the applicable termination date pursuant to Article IX of the Agreement. GGP agrees to use appropriate and reasonable efforts, as mutually agreed upon by the parties and at Spinco’s cost, to ensure that any terminated Service is integrated into Spinco’s broader business processes.

  • Standard of Services All services to be rendered by SCM hereunder shall be performed in a professional, competent and timely manner subject to the supervision of the Board of Directors of the Corporation on behalf of the Funds. The details of the operating standards and procedures to be followed by SCM in the performance of the services described above shall be determined from time to time by agreement between SCM and the Corporation.

  • Term of Services The term of this Agreement shall begin on the Effective Date and shall end on , the date of completion specified in Exhibit A, and Consultant shall complete the work described in Exhibit A on or before that date, unless the term of the Agreement is otherwise terminated or extended, as provided for in Section 8.
