Bi-Annual Update Meetings. During each six (6)-month period from the end of the Collaboration Program Term until the earlier of first approval of an NDA for any Licensed Product by the FDA or first approval of an MAA for any Licensed Product by the EMA, within thirty (30) days of Xxxxx’x written request, the Parties will meet in person at a U.S. site of Clovis for Clovis to provide Xxxxx with an update on the Development of the Licensed Products by Clovis and its Affiliates and Sublicensees. During such meeting, Clovis will disclose to Xxxxx all material information regarding such Development and will further provide such data and information in writing with respect thereto as Xxxxx may reasonably request. Each Party will bear its own costs and expenses regarding such meetings. Further, in the event that Xxxxx exercises its option under Section 6.4(e) regarding cost sharing of certain clinical trial expenses, at Xxxxx’x request such meetings will occur, not only during the time period and at the frequency prescribed above, but also from Xxxxx’x option exercise until twelve (12) months after the completion of the additional clinical trial referred to in such Section 6.4(e) (the “Additional Reporting Period”), and during the Additional Reporting Period such meetings will occur each calendar quarter instead of once every six (6) months.

  • Monthly Meetings The Chief Xxxxxxx or Xxxxxxx designated by the Union and the university’s chief human resources officer or designee shall schedule monthly meetings to review pending grievances and contractual issues and to make good faith efforts to resolve such grievances and issues. The Chief Xxxxxxx or Xxxxxxx designated by the Union and the university’s chief human resources officer or designee shall mutually agree on the participation of other Union and Employer representatives at these meetings on a case-by-case basis. Such meetings shall take place during regular working hours. Bargaining unit employees authorized to attend these meetings shall be considered to be on work time.

  • Quarterly Meetings a. The Parties must meet as frequently as necessary to ensure proper oversight of this MOU but not less frequently than quarterly, in order to address care coordination, Quality Improvement (“QI”) activities, QI outcomes, systemic and case- specific concerns, and communicating with others within their organizations about such activities. These meetings may be conducted virtually. b. Within 30 Working Days after each quarterly meeting, the Parties must each post on its website the date and time the quarterly meeting occurred, and, as applicable, distribute to meeting participants a summary of any follow-up action items or changes to processes that are necessary to fulfill the Parties’ obligations under the Medi-Cal Managed Care Contract, the DMC-ODS Intergovernmental Agreement, and this MOU. c. The Parties each must invite the other Party’s Responsible Person and appropriate program executives to participate in quarterly meetings to ensure appropriate committee representation, including a local presence, to discuss and address care coordination and MOU-related issues. The Parties’ Subcontractors and Downstream Subcontractors should be permitted to participate in these meetings, as appropriate. d. The Parties must report to DHCS updates from quarterly meetings in a manner and at a frequency specified by DHCS.

  • Open Meetings (a) All scheduled meetings of the Employer shall be open meetings, except in those cases where personnel, financial or other matters require that the meeting be considered confidential. (b) In those cases where a meeting is designated confidential, the Union shall be provided with a reason for such designation. (c) A designated member of the Union shall be provided a copy of the agenda and minutes of all open meetings. (d) Notwithstanding 18.04(b), any faculty member may request that an Union representative attend as an observer at meetings where the faculty member reasonably believes their working conditions under Article 12 will be affected. Management will be notified by the Union in advance of the meeting regarding their attendance at the meeting.

  • Performance Meetings During a meeting on performance, the parties will: (a) discuss the causes of a Performance Factor; (b) discuss the impact of a Performance Factor on the local health system and the risk resulting from non-performance; and (c) determine the steps to be taken to remedy or mitigate the impact of the Performance Factor (the “Performance Improvement Process”).

  • Annual Meetings The Annual Meeting of Stockholders for the election of directors shall be held on such date and at such time as shall be designated from time to time by the Board of Directors. Any other proper business may be transacted at the Annual Meeting of Stockholders.
