Borrower's Assignment. The Borrower may not assign any of its rights or obligations under this Agreement.
Borrower's Assignment. This Loan and Security Agreement may not be assigned by Borrower without the prior written consent of Lender, which consent may be withheld in the Lender's sole and absolute discretion, and any attempt to make such assignment without such consent shall be void and at the option of Lender, be deemed a default hereunder.

Without Lender’s prior written consent, Borrower shall not assign, bail, hypothecate, encumber, transfer or dispose of the Collateral or any interest in this Agreement nor impair Lender’s security interest on the ‘Collateral. No assignment, whether or not with Lender’s consent, shall release Borrower, or any guarantor from any of its respective obligations or otherwise materially adversely affect any rights or remedies of Lender under this Agreement. Any attempted assignment without Lender’s written consent shall be void and of no effect. Borrower shall not assign this Agreement, nor shall this Agreement or any rights under this Agreement or in the Collateral inure to the benefit of any trustee in bankruptcy, receiver, creditor, or other successor of Borrower whether by operation of law or otherwise. Borrower may lease the Collateral in the ordinary course of its business provided (i) that all such leases as they relate to the Collateral are hereby assigned to Lender and Borrower grants Lender a security interest in all such Leases to further secure performance by Borrower of the Obligations hereunder and (ii) Borrower shall remain primarily liable hereunder notwithstanding Borrower entering into any such lease.

Borrower's Assignment. No Borrower may assign, transfer or otherwise dispose of any of its rights or obligations hereunder or under any of the other Loan Documents to which it is a party, by operation of law or otherwise, and any such assignment, transfer or other disposition without the Banks' written consent shall be void. All of the rights, privileges, remedies and options given to the Banks hereunder shall inure to the benefit of their successors and assigns, and all the terms, conditions, covenants, provisions and warranties herein shall inure to the benefit of and bind the representatives, successors and assigns of the Borrowers and the Banks, respectively.
Borrower's Assignment. The Borrower may not assign or transfer all or any part of its rights or obligations under any Security Document.
Borrower's Assignment. This Agreement may not be assigned by Borrower. Pending consummation of the terms of this Agreement and as long as the Loan is outstanding, there shall be no transfer of title to the Property without the prior written consent of Lender, except as provided in this Agreement.
