Bring-down CFO Certificate. At the Closing Date, the Underwriters shall have received a certificate of the Chief Financial Officer of the Company, dated as of the Closing Date, in which the Chief Financial Officer reaffirms the statements made in the certificate delivered pursuant to Section 5(f) above.
Bring-down CFO Certificate. At Closing Time, the Representatives shall have received from the chief financial officer of the Company a certificate, dated as of Closing Time, to the effect that he reaffirms the statements made in the officer’s certificate furnished pursuant to subsection (j) of this Section.
Bring-down CFO Certificate. A certificate, dated such Date of Delivery, of the Chief Financial Officer of the Company confirming that the certificate delivered at the Closing Time pursuant to Section 6(l) hereof remains true and correct as of such Date of Delivery.
Bring-down CFO Certificate. If requested by the Representatives, a certificate of the chief financial officer of the General Partner, in his capacity as chief financial officer only, dated such Date of Delivery, in form and substance reasonably satisfactory to the Representatives.
Bring-down CFO Certificate. A certificate, dated such Option Closing Date, to the effect set forth in, and signed by the Chief Financial Officer of the Company, as specified in Section 6(g) hereof, except that the references in such certificate to the Closing Date shall be changed to refer to such Option Closing Date.
Bring-down CFO Certificate. A certificate, dated such Date of Delivery, of the Chief Financial Officer or Chief Accounting Officer of the Company confirming that the certificate delivered by the Company at the time of execution of this Agreement pursuant to Section 5(i) hereof remains true and correct as of such Date of Delivery.
Bring-down CFO Certificate. If requested by the Representative, a certificate from the Company’s Chief Financial Officer, in form and substance satisfactory to the Representative and dated such Date of Delivery, to the effect that she affirms the statements made in the certificate furnished pursuant to subsection (h) of this Section, except that the specified date referred to shall be the Date of Delivery.
Bring-down CFO Certificate. If requested by the Representatives, a certificate from Mxxxxxx Xxxxxxxxx, the Chief Financial Officer of the Company, in form and substance reasonably satisfactory to the Representatives and dated such Date of Delivery, substantially in the same form and substance as the certificate furnished to the Representatives pursuant to Section 5(h) hereof.
Bring-down CFO Certificate. On the First Closing Date and the Option Closing Date, the Underwriter shall have received from the Chief Financial Officer of the Company, a certificate dated as of such Closing Date, in the form attached as Exhibit B hereto; except that the specified date referred to therein shall be the First Closing Date or the Option Closing Date, as the case may be.
Bring-down CFO Certificate. If requested by the Representatives, a certificate, dated such Date of Delivery, of the chief financial officer of the Company confirming that the certificate delivered pursuant to Section 5(e) hereof remains true and correct as of such Date of Delivery.
