Brokerage or Finder’s Fees. Neither the Buyer nor any of its Affiliates, officers, directors or employees has employed any broker or finder or incurred any liability for any brokerage fees, commissions or finder’s fees in connection with the transactions contemplated herein.

Brokerage or Finder’s Fees. All negotiations relating to this Agreement and the transactions contemplated hereby have been conducted without the intervention of any person or entity acting on behalf of Buyer or its Affiliates in such a manner as to give rise to a valid claim against Seller, the Company or any Subsidiary for any broker's or finder's commission, fee or similar compensation.
Brokerage or Finder’s Fees. Neither of the Companies has incurred any liability to any broker, finder or agent for any fees or commissions or similar compensation with respect to the transactions contemplated by this Agreement except for the fees to be paid by the Companies to RSM Xxxxxxx Corporate Finance Inc. pursuant to that certain Engagement Letter between the Shareholders and RSM Xxxxxxx Corporate Finance Inc.
