Brokers, Agents and Finders. Neither Seller or any of its Affiliates has retained any brokers, agents or finders in connection with the transactions contemplated hereby for which Buyer or its Affiliates shall have any liability. Seller releases Buyer Group from and shall fully protect, indemnify and defend Buyer Group and hold them harmless from and against any and all claims relating to, arising out of, or connected with, directly or indirectly, commissions, finders’ fees or other remuneration due to any agent, broker or finder claiming by, through or under Seller or its Affiliates. Neither Buyer or any of its Affiliates retained any agents, brokers or finders for Buyer associated with the transactions contemplated hereby for which Seller or any of its Affiliates shall have any liability. Buyer releases Seller Group from and shall fully protect, indemnify and defend Seller Group and hold them harmless from and against any and all claims relating to, arising out of, or connected with, directly or indirectly, commissions, finders’ fees or other remuneration due to any agent, broker or finder claiming by, through or under Buyer or its Affiliates.

Brokers, Agents and Finders. Sellers and Buyer have each retained separate financial advisors and service providers ("Advisors") in connection with the transactions contemplated by this Agreement. All fees and charges by the Advisors to Sellers shall be the responsibility of Sellers, and all fees and charges by the Advisors to Buyer shall be the responsibility of Buyer. The respective Advisors are not authorized to act on behalf of Sellers or Buyer, respectively, in the transactions contemplated by this Agreement. SELLERS RELEASE AND SHALL PROTECT, DEFEND, INDEMNIFY AND HOLD BUYER GROUP, THE LP AND THE LLC HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS WITH RESPECT TO ANY COMMISSIONS, FINDERS' FEES OR OTHER REMUNERATION DUE TO ANY BROKER, AGENT, FINDER OR ADVISOR CLAIMING BY, THROUGH OR UNDER SELLERS. BUYER RELEASES AND SHALL PROTECT, DEFEND, INDEMNIFY AND HOLD SELLERS GROUP HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS WITH RESPECT TO ANY COMMISSIONS, FINDERS' FEES OR OTHER REMUNERATION DUE TO ANY BROKER, AGENT OR FINDER CLAIMING BY, THROUGH OR UNDER BUYER. Each Party shall be responsible for and shall bear the expenses incurred by it in connection with negotiating and consummating the transactions contemplated by this Agreement.

  • Brokers and Finders No Person will have, as a result of the transactions contemplated by the Transaction Documents, any valid right, interest or claim against or upon the Company, any Subsidiary or an Investor for any commission, fee or other compensation pursuant to any agreement, arrangement or understanding entered into by or on behalf of such Investor.
