Bulk Sale Waiver. The parties hereto acknowledge and agree that no filings with respect to any bulk sales or similar laws have been made, nor are they intended to be made, nor are such filings a condition precedent to the Closing.

Bulk Sale Waiver. Buyer hereby waives compliance with the provisions of Division 6 of the California Uniform Commercial Code relating to bulk sale in connection with the sale of the Assets, subject to the foregoing representations and warranties of Seller and the indemnification by Seller set forth above. Nothing in this paragraph shall prevent Buyer, or be deemed a waiver by Buyer, from asserting that that the bulk sales laws of California do not apply to the transaction contemplated by this Agreement as a defense to a legal action brought by a creditor of Seller under such laws.

Title 41, Chapter 23, and its implementing rules, Arizona Administrative Code (A.A.C.) Title 2, Chapter 7.
