Business Review. The parties will meet at least annually to --------------- review developments in the marketplace, including pricing, competitive developments, regulatory and administrative changes, and other factors important to success of the FreeStyle Products in the Territory.
Business Review a. Wholesaler will hold monthly business reviews at MMCAP Infuse’s office with the Wholesale’s Primary Account Representative(s), as deemed necessary by MMCAP Infuse’s Pharmacy Distribution Services Coordinator.

Angeles Acquisition shall have completed to its reasonable satisfaction a review of the business, operations, finances, assets and liabilities of Consolidated Capital and the Consolidated Entities and shall not have determined that any of the representations or warranties of Consolidated Capital contained herein are, as of the date hereof or the Closing Date, inaccurate in any material respect or that Consolidated Capital is otherwise in violation of any of the provisions of this Agreement.

Business Review. DISTRIBUTOR hereby gives RSM the right, upon reasonable advance notice, to conduct business reviews involving an examination, either directly or through a designee, of DISTRIBUTOR’S inventory of Products, quality systems, copies of promotional materials, and business records, including financial and sales records relating to the business performed pursuant to this Agreement, in order to ensure DISTRIBUTOR’s compliance with the terms of this Agreement.
Business Review. 13.1 A business review shall take place when reasonably requested by PRINCIPAL or required by law.
13.2 The purpose of the review shall generally be to examine and discuss all issues arising under this AGREEMENT, proposals for amendments to this AGREEMENT and the resolution of any disputes that may have arisen.
Business Review. Once per quarter CloudMinds and RED will meet to engage in a formal business review. Agenda items will include but not be limited to CloudMinds’ performance in terms of pricing (including achievement to CloudMinds committed cost down goal), delivery, response, quality (including performance to defined mutually agreed KPI’s & metrics), service, and Products roadmap with innovation evidence to RED Products, and RED’s performance in forecasting, ordering process, and invoice payment. During this meeting, both Parties will review their respective business requirements and goals for next quarter. CloudMinds shall continuously reduce the material and manufacturing costs of all products in accordance with a mutually agreed cost reduction plan. During the term of this Agreement, CloudMinds shall use its best efforts to meet or exceed the cost reduction plan and RED shall have the right to review the progress at any time, but at least quarterly.
Business Review. The parties shall have a QBR meeting to discuss topics of interest, including but not limited to: · General business updates, · Quality performance and open corrective actions, · Delivery performance and any open corrective actions, · Forecast and capacity review. Confidential treatment has been requested with respect to the omitted portions. · Review insurance levels Such meeting may take place via conference call or in person at a mutually agreed upon time and place. Each Party shall be responsible for expenses incurred by its respective staff resulting for such meeting. Failure to hold a Business Review will not relieve SELLER or BUYER from its obligations under this Agreement.
