Common use of Business Review Clause in Contracts

Business Review. Angeles Acquisition shall have completed to its reasonable satisfaction a review of the business, operations, finances, assets and liabilities of Consolidated Capital and the Consolidated Entities and shall not have determined that any of the representations or warranties of Consolidated Capital contained herein are, as of the date hereof or the Closing Date, inaccurate in any material respect or that Consolidated Capital is otherwise in violation of any of the provisions of this Agreement.

Angeles Acquisition Consolidated Capital shall have completed to its reasonable satisfaction a review of the business, operations, finances, assets and liabilities of Consolidated Capital Angeles Acquisition and the Consolidated Angeles Entities and shall not have determined that any of the representations or warranties of Consolidated Capital Angeles Acquisition contained herein are, as of the date hereof or the Closing Date, inaccurate in any material respect or that Consolidated Capital Angeles Acquisition is otherwise in violation of any of the provisions of this Agreement.
