Buyer’s Broker. Except to the extent a broker acting on behalf of Xxxxx has entered and executed a co-broker agreement with the Designated Seller Representatives set forth in Section
1.1 prior to the auction of the Property giving rise to this Agreement, Xxxxx hereby agrees to indemnify, defend and hold harmless Seller, and any successors or assigns of the foregoing, from any and all claims, demands, causes of action, losses, costs and expenses (including reasonable attorneys’ fees, court costs and disbursements) arising from any claim for commission, fees or other compensation or reimbursement for expenses made by any broker engaged by or claiming to have dealt with Buyer in connection with this Agreement or the transactions contemplated hereby. Xxxxx agrees to pay any Buyer broker in accordance with the terms of a separate agreement between Xxxxx and Xxxxx broker.

Buyer’s Broker. The Parties acknowledge that, pursuant to a separate agreement connection with the Potential Transaction. Broker is a Buyer Party under this Agreement and, by executing this Agreement, is directly bound by and directly subject to all of the terms, conditions, rights and obligations set forth in this Agreement, as though Broker were substituted for Buyer herein. Buyer and Broker represent and warrant that no real estate sales or brokerage commission or like commissions are or may become due from any party in connection with this Agreement, except as may be provided in a separate written agreement executed on behalf of the party or parties charged.
Buyer’s Broker. To qualify for a commission, the buyer’s broker must register the prospect, using the Buyer Broker Registration Form provided by the Auctioneer. There will be no exceptions to the guidelines and no oral registrations will be accepted. No broker will be recognized that is participating as a principal, buyer or partner in the purchase.
