By this Purchase agreement the Seller sells and transfers the Subject of Transfer to the Buyer for the purposes of Buyer’s plant construction, which would focus its operation on the production of automotive parts (hereinafter as the “Purpose of the plant”) and the Buyer accepts the Subject of Transfer into its ownership under the conditions hereof. The Parties concluded an agreement for a future agreement on the purchase of Subject of Transfer (hereinafter as the “Future purchase agreement”) and on the basis of which the Parties have undertaken to conclude this Purchase agreement (hereinafter as the “Purchase agreement”).
By this Purchase agreement the Seller sells and transfers the Subject of Transfer to the Buyer’s ownership for a purchase price of CZK 340 /sqm without VAT, i.e. a total of …………… .without VAT (in words ……………), which is payable under the terms of a separate escrow agreement and in the manner as was agreed in the Future purchase agreement. All monetary performances of the Buyer to the Seller under this Purchase agreement are considered fulfilled on the day when they will be credited to the escrow account and further paid to the Seller. The Seller is not obliged to accept partial performance. VAT will be added to the purchase price in accordance with and at the rate set forth in the applicable laws.
