C ity Right of Entry. CARA MIA acknowledges that the City may need to gain access to the Premises on occasion during CARA MIA’s periods of actual possession under the then applicable Use Contract(s) during the Term as part of LCC maintenance. The City is agreed that, except as provided herein, all access by City during those periods allocated to CARA MIA for its resident company purposes pursuant to this Agreement and the then applicable Use Contract(s) shall be subject to prior written notice of at least 48 hours, except in the event of an emergency. To the extent City shall need access to the Premises for the purposes described above, City shall make arrangements with CARA MIA to have CARA MIA personnel in attendance for the duration City is present in the Premises. Except in an emergency event, City’s notice shall be in writing and describe the reason for access and the area desired to be accessed and the time of such access by the City. Prior to giving such notice for access the City shall contact CARA MIA to establish the dates that the Premises will be available and subject to City’s granted access rights. In addition to the rights of access reserved in the then applicable Use Contract(s) and elsewhere herein, CARA MIA and City agree City may reasonably use and occupy the Premises, or parts thereof, at times and locations that do not unreasonably interfere with CARA MIA’s allotment of weeks and/or previously scheduled or anticipated performances in the Premises. No less than one hundred fifty (150) calendar days prior to the commencement of a Term year, the City and CARA MIA shall coordinate their use for the upcoming Term year. In order to enable CARA XXX’s successful performance and compliance under this Agreement, CARA MIA shall have priority of dates and scheduling in the Premises, along and concurrent with Teatro Dallas, with City having priority choice over remaining and available dates.

  • Right of Entry The Landlord shall have the right to enter the Premises during normal working hours by providing at least twenty-four (24) hours notice in order for inspection, make necessary repairs, alterations or improvements, to supply services as agreed or for any reasonable purpose. The Landlord may exhibit the Premises to prospective purchasers, mortgagees, or lessees upon reasonable notice.

  • Landlord’s Right of Entry Landlord shall be allowed access to the premises, at any reasonable hour for the purpose of examining or exhibiting of same, and for making such repairs or alterations either as Landlord may deem necessary or appropriate or as Tenant may request. Tenants are not allowed to interfere with showings as this is a direct violation of your lease. In the City of Urbana Landlord will give tenants 24 hours notice. While not required in Champaign, Landlord will make reasonable effort to give tenant advance notice and may provide this notice through phone, email, verbal or posting notice. In cases of emergency repairs or due to complaints, Landlord may have to enter the premises with no formal notice.

  • LESSOR'S RIGHT OF ENTRY The Lessor or the Lessor's agent may enter at reasonable hours to inspect or show the Premises to prospective lenders and purchasers, and to do anything the Lessor may be required to do hereunder or which the Lessor may deem necessary for the good of the Premises or any building of which they are apart. During the last [#] days of the Term, the Lessor may display a "For Rent" sign on the Premises and show the Premises to prospective lessees.

  • RIGHT OF ENTRY AND INSPECTION OWNER may enter, inspect, and/or repair the premises at any time in case of emergency or suspected abandonment. OWNER shall give 24 hours advance notice and may enter for the purpose of showing the premises during normal business hours to prospective renters, buyers, lenders, for smoke alarm inspections, and/or for normal inspections and repairs. OWNER is permitted to make all alterations, repairs and maintenance that in OWNER'S judgment is necessary to perform.

  • Rights of entry 4.12.1 The Tenant shall allow the Landlord and its agents, with any necessary contractors and workmen, to enter the Premises at all reasonable times on prior notice (or in the event of an emergency at any time without notice) for any purpose whatsoever including the following:

  • Right of Use 2.1 Except as expressly otherwise agreed in this Contract, as between the parties all intellectual and industrial property rights in the Supplies, in all documents provided by Siemens in connection with this Contract (the “Documents”) and in all software, hardware, knowhow (“IPR”) and other things provided with or as part of the Supplies and the Documents shall be the exclusive property of and vest in Siemens. The Customer shall not reverse engineer, decompile, or reproduce the Supplies or parts thereof and shall ensure that third parties will not reverse engineer, decompile, or reproduce the Supplies or parts thereof in each case to the extent mandatory law does not prohibit such limitation.

  • STATE'S RIGHT TO STOP THE WORK 3.3.1 If the Contractor fails to correct defective Work as required by Paragraph 13.2 or persistently fails to carry out the Work in accordance with the Contract Documents, the State, by a written order signed personally or by an agent specifically so empowered by the State in writing, may order the Contractor to stop the Work, or any portion thereof, until the cause for such order has been eliminated; however, this right of the State to the stop the Work shall not give rise to any duty on the part the State to exercise this right for the benefit of the Contractor or any other person or entity, except to the extent required by Subparagraph 6.1.3.

  • Removal of Equipment and Materials Within 30 days after completion of the requirements of this contract, PURCHASER shall remove from the areas of operations, and other property owned or controlled by STATE, all equipment, materials, and other property PURCHASER has placed or caused to be placed thereon that is not to become the property of STATE. It is agreed that any such equipment, materials, and other property that are not removed within 30 days, shall become the property of STATE and may be used or otherwise disposed of by STATE without notice or obligation to PURCHASER or to any party to whom PURCHASER may transfer title. Nothing in this section shall be construed as relieving PURCHASER from an obligation to clean up and to burn, remove, or dispose of debris, waste materials, and such, in accordance with the provisions of this contract. PURCHASER shall indemnify STATE for expenses as a result of cleanup, removal or disposal of debris, waste materials, and such.

  • No assignment of Intellectual Property Rights 9.1 Nothing in this Agreement shall operate to assign or transfer any Intellectual Property Rights from the Provider to the Customer, or from the Customer to the Provider.

  • NO GRANT OF INTELLECTUAL PROPERTY RIGHTS IHiS reserves all proprietary and intellectual property rights in the Confidential Information and no rights or obligations other than those expressly stipulated in this NDA are granted or to be implied from this NDA. In particular, no license is hereby granted directly or indirectly under any patent, invention, discovery, copyright or other industrial property right now or in the future held, made, obtained or licensable by IHiS.
