If Customer is a California retailer or intends to incorporate Lumber Products into commerce in California, Customer will display the following warning: WARNING: Drilling, sawing, sanding or machining wood products can expose you to wood dust, a substance known to the State of California to cause cancer. California Proposition 65. If the Purchaser directly or indirectly sells the Products in California, or directly or indirectly distributes the Products for sale into California, the Purchaser shall comply with all applicable provisions of California’s Proposition 65 and its implementing regulations, including but not limited to 27 Cal. Code Regs. Sections 25601-25607, and 25607.10-25607.11. Among other things, such requirements include providing the following warning to the purchaser in California: WARNING: This product, as well as, drilling, sawing, sanding or machining wood products can expose you to wood dust, which is known to the State of California to cause cancer, and methanol, which is known to the State of California to cause birth defects or other reproductive harm. Avoid inhaling wood dust or use a dust mask or other safeguards for personal protection. For more information go to xxx.X00Xxxxxxxx.xx.xxx/xxxx. Among other places, the Purchaser shall ensure the warning is provided either at the point of sale or display of the Products in a manner likely to be seen by the buyer. The notice or sign must be no smaller than 8 ½ by 11 inches and printed in no smaller than 20-point type. Alternatively, where the Product is sold in bulk form, the warning may be provided on an invoice or receipt for the Products in no smaller than 12-point type. Finally, the warning may instead be affixed to each individual unit of the Products.

California Proposition 65. Vendor agrees to defend, indemnify and hold harmless Indemnified Parties from any claims, liabilities, losses, costs, fines, penalties, demands, damages, and expenses (including reasonable attorneys’ fees) arising out of Vendor’s failure to comply with California’s Safe Drinking Water and Toxic Enforcement Act of 1986, Health and Safety Code Section 25249.5, et seq. (“Proposition 65”) and/or Section 5.E’s (below) Requirement to affix a label to all Goods, warnings required under Proposition 65. This section shall survive the expiration or termination of this Agreement.

California Proposition 65. The goods do not require warnings for chemicals listed in the Safe Drinking Water and Toxic Enforcement Act of 1986, also known as Proposition 65. Proposition 65 requires a seller to provide a written warning to consumers regarding any exposure to chemicals with regard to goods. If a Prop 65 warning is required, Provider shall submit a Environmental Checklist and provide Sony with a list of Proposition 65 chemicals contained in each product sold or supplied to Sony that requires a warning and the warning language (for each product) that includes the name(s) of the carcinogens and/or reproductive toxins. If there is any change to the chemical composition of the goods and/or required warnings, Provider shall inform Sony within ten
California Proposition 65. A. Pursuant to California Health and Safety Code section 25249.5 et seq. (Prop 65) and its enabling regulations at 27 CCR § 25600.2(b), Vendor is responsible for determining whether any product(s) Vendor sells to DPI require(s) a Proposition 65 warning, what warning language is required and how the warning is conveyed for such product(s) in order to ensure warning is in compliance with Prop 65. DPI will not be responsible for labeling products or handling warning materials, including passing such warning materials on to end retail customers. It is expected that Vendor will include any necessary Prop 65 warnings on the product packaging. In the event that a Vendor’s product requires a Prop 65 warning and a warning is not on the product packaging but rather Vendor chooses to provide necessary Prop 65 warnings through notice and warning materials for posting at retail, DPI will not be responsible for handling warning materials or otherwise providing warning materials to retail customers. DPI will however, upon written request from Vendor, provide a list to Vendor of all California retail customers to which Vendor’s products are distributed. Vendor will be expected to provide materials directly to the California retail customers.
California Proposition 65. Buyer acknowledges that all Products manufactured, distributed and/or provided by Company to Buyer, whether for distribution, resale, use or otherwise, must be labeled in compliance with California Health and Safety Code Section 25249.5 et seq., commonly referred to as Proposition 65, and implementing regulations ("P rop 65"). Upon request from time to time by Company, Buyer shall provide Company with a written certification confirming Buyer's compliance with any and all Prop 65-related instructions provided by Company. Buyer shall defend, indemnify and hold Company harmless from and against any and all losses, damages (including, without limitation, special, incidental and consequential damages), liabilities, fees, costs and/or expenses, including reasonable legal fees, arising out of or resulting from any Prop 65 violation(s) relating in any way to any Product provided by Company to Buyer.
