Call Tracking. (4.4 Applicable to Call Tracking Services only.) Client will pay a one-time set up fee for the number(s) as set forth in the Marketing Order, together with a monthly fee as provided in the Marketing Order. If usage of any tracking number exceeds 300 minutes per month, Client agrees to pay twelve (.12) cents per minute in addition to the regular monthly fee. Client will receive an invoice for this overage, and Client agrees to pay within seven (7) days of the payment date set forth therein.

Call Tracking. If M Agency Inc is providing call tracking as part of its Services, it is understood that Client does not own the phone number(s) provided for such Services, rather, Client is merely being provided with the right to receive calls from the numbers in furtherance of Client’s business, on the terms set forth herein and in the Marketing Order. So long as Client is not delinquent on any payment for Services, M Agency Inc will provide Client with access to up- to-date Call Tracking Reports. M Agency Inc will provide Client with a password to access the Call Tracking Reports.
Call Tracking. All calls will be logged in the G7 Helpdesk system and a call reference will be issued to Customer for call resolution tracking.
Call Tracking. MCAD Personnel will use two separate call tracking systems in their work for USI. One system will be the Unigraphics Global Technical Access system ("GTAC"). USI will supply a machine to provide the client access for this system in India. The other system will be the Jupiter Tracking System ("JTS"), which will be available to the MCAD Personnel via the network link to USI in Huntsville.
Call Tracking. CMG may provide Advertiser a call tracking service that offers inbound call tracking, l routing, c recording, classification and transcriptions, specific information about the caller, advertising channel information for incoming phone calls, as well as software maintenance and upgrades and customer support, that enable Advertiser to track the performance of its advertising campaigns. Advertiser acknowledges and agrees that CMG or any Vendor that is utilized to assist in providing call tracking shall have the right to access Advertiser’s account(s) with the Site Owner and to use, modify, reproduce, distribute, display and disclose any information collected solely to the extent necessary to provide the call tracking service, including in response to your support requests.

  • Purchase for Own Account This Warrant and the securities to be acquired upon exercise of this Warrant by Holder are being acquired for investment for Holder’s account, not as a nominee or agent, and not with a view to the public resale or distribution within the meaning of the Act. Holder also represents that it has not been formed for the specific purpose of acquiring this Warrant or the Shares.

  • Purchase and Substitution (a) It is understood and agreed that the representations and warranties set forth in Sections 3.01, 3.02 and 3.03 of the Purchase Agreement shall survive delivery of the Certificates to the Certificateholders. Pursuant to the Purchase Agreement, with respect to any representation or warranty contained in Sections 3.01, 3.02 or 3.03 of the Purchase Agreement that is made to the best of the Seller's knowledge, if it is discovered by the Servicer, any Subservicer, the Trustee, the Certificate Insurer or any Certificateholder that the substance of such representation and warranty was inaccurate as of the Closing Date and such inaccuracy materially and adversely affects the value of the related Mortgage Loan, then notwithstanding the Seller's lack of knowledge with respect to the inaccuracy at the time the representation or warranty was made, such inaccuracy shall be deemed a breach of the applicable representation or warranty. Upon discovery by the Seller, the Servicer, any Subservicer, the Trustee or the Certificate Insurer of a breach of any of such representations and warranties which materially and adversely affects the value of the Mortgage Loans or the interest of the Certificateholders or the Certificate Insurer, or which materially and adversely affects the interests of the Certificate Insurer or the Certificateholders in the related Mortgage Loan in the case of a representation and warranty relating to a particular Mortgage Loan (notwithstanding that such representation and warranty was made to the Seller's best knowledge), the party discovering such breach shall give prompt written notice to the others. Subject to the last paragraph of this Section 3.03, within 60 days of the earlier of its discovery or its receipt of notice of any breach of a representation or warranty, pursuant to the Purchase Agreement, the Servicer shall, or shall cause the Seller or an Originator to (a) promptly cure such breach in all material respects, or (b) purchase such Mortgage Loan on the next succeeding Servicer Distribution Date, in the manner and at the price specified in Section 2.06(b), or (c) remove such Mortgage Loan from the Trust Fund (in which case it shall become a Deleted Mortgage Loan) and substitute one or more Qualified Substitute Mortgage Loans; provided, that, such substitution is effected not later than the date which is two years after the Startup Day or at such later date, if the Trustee and the Certificate Insurer receive an Opinion of Counsel to the effect set forth below in this Section. In addition, pursuant to the Purchase Agreement, the Seller and the related Originator shall be obligated to indemnify the Trustee, the Certificateholders and the Certificate Insurer for any third party claims arising out of a breach by the Seller of representations or warranties regarding the Mortgage Loans. Pursuant to the Purchase Agreement any such substitution shall be accompanied by payment by the Seller of the Substitution Adjustment, if any, to be deposited in the Collection Account.

  • Investment for Own Account The Securities are being issued to Laurus for its own account for investment only, and not as a nominee or agent and not with a view towards or for resale in connection with their distribution.

  • Purchase for Own Account for Investment Purchaser is purchasing the Shares for Purchaser’s own account for investment purposes only and not with a view to, or for sale in connection with, a distribution of the Shares within the meaning of the Securities Act. Purchaser has no present intention of selling or otherwise disposing of all or any portion of the Shares and no one other than Purchaser has any beneficial ownership of any of the Shares.

  • The Selling Stockholders understand that the Underwriters intend to make a public offering of the Shares, and initially to offer the Shares on the terms set forth in the Pricing Disclosure Package. The Selling Stockholders acknowledge and agree that the Underwriters may offer and sell Shares to or through any affiliate of an Underwriter.
