CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. 11.1 All Notes which are redeemed, all Global Notes which are exchanged in full, all Receipts or Coupons which are paid and all Talons which are exchanged shall be cancelled by the Paying Agent by which they are redeemed, exchanged or paid. In addition, the Issuer shall immediately notify the Agent in writing of all Notes which are purchased on behalf of the Issuer or any of its Subsidiaries and all such Notes surrendered to a Paying Agent for cancellation, together (in the case of Definitive Notes) with all unmatured Receipts, Coupons or Talons (if any) attached to them or surrendered with them, shall be cancelled by the Paying Agent to which they are surrendered. Each of the Paying Agents shall give to the Agent details of all payments made by it and shall deliver all cancelled Notes, Receipts, Coupons and Talons to the Agent or as the Agent may specify.

Each of the Paying Agents shall give to the Agent details of all payments made by it and shall deliver all cancelled Notes, Receipts, Coupons and Talons to the Agent or as the Agent may specify. If the Issuer purchases any of its Notes for cancellation, the Issuer shall provide the Agent or Paying Agent instructions in the form agreed to by the Agent or Paying Agent confirming the details of the Notes to be purchased. The Issuer shall provide the instructions to the Agent or Paying Agent no later than two (2) Business Days prior to the date on which the Notes are intended to be purchased and cancelled. Once the Notes have been received by the Agent or Paying Agent, it will request the immediate cancellation of the Notes.

CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. (1) All Bearer Notes which are redeemed, all Receipts or Coupons which are paid, all Talons which are exchanged, and all Registered Certificates representing Registered Notes that are redeemed, shall be delivered outside the United States and its possessions to the Principal Agent, and shall be cancelled by the Principal Agent or Transfer Agent through which they are redeemed, paid or exchanged. In addition, the Issuer shall notify the Principal Agent or Transfer Agent, as applicable, in writing of all Notes which are purchased by or on behalf of the Issuer or any of its subsidiaries and all such Notes (or Registered Certificates in respect of Registered Notes) surrendered to the Principal Agent for cancellation, together (in the case of Bearer Definitive Notes) with all unmatured Receipts, Coupons or Talons (if any) attached thereto or surrendered therewith, shall be cancelled by the Principal Agent.
CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. (1) Any Notes which are purchased pursuant to the Conditions by or on behalf of the Company, together (in the case of Notes in definitive form) with all unmatured Receipts, Coupons or Talons (if any) attached thereto or surrendered therewith, may, at the Company's option, be surrendered to the Agent for cancellation. Where any Notes, Receipts, Coupons or Talons are purchased and surrendered to the Agent for cancellation as aforesaid, the Company shall procure that all relevant details are promptly given to the Agent and that all Notes, Receipts, Coupons or Talons to be so cancelled are delivered to the Agent. All Notes which are redeemed, all Receipts or Coupons which are paid and all Talons which are exchanged shall be cancelled by the Agent or Paying Agent by which they are redeemed, paid or exchanged. Each of the Paying Agents shall give to the Agent details of all payments made by it and shall deliver all cancelled Notes, Receipts, Coupons and Talons to the Agent or to any Paying Agent authorized from time to time in writing by the Agent to accept delivery of cancelled Notes, Receipts, Coupons and Talons (an "Authorized Agent").
CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. 12.1 All Notes which are redeemed (together with all unmatured Coupons attached thereto or delivered therewith), all Receipts and Coupons which are paid and all Talons which are exchanged shall be cancelled by the Paying Agent by which they are paid or exchanged. Each of the Paying Agents shall give to the Agent details of all payments and exchanges made by it and shall deliver all cancelled Notes, Receipts, Coupons and Talons to the Agent or as the Agent may specify. The Issuer shall immediately notify the Agent in writing of all Notes which are purchased by the Issuer or any of its Subsidiaries, and the Issuer may, at its option, procure that such Notes (together with all unmatured Receipts, Coupons and Talons appertaining thereto) are promptly surrendered to the Agent or its authorised agent for cancellation.
CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. 15.6 The Fiscal Agent or, as the case may be, the Registrar shall, on issuing any replacement Note, Receipt, Coupon or Talon, as soon as reasonably practicable inform the Issuer and the Guarantor and the other Agents of the serial number of the replacement Note, Receipt, Coupon or Talon issued and (if known) of the serial number of the Note, Receipt, Coupon or Talon in place of which the replacement Note, Receipt, Coupon or Talon has been issued. Whenever replacement Receipts, Coupons or Talons are issued, the Fiscal Agent or, as the case may be, the Registrar shall also notify the other Agents of the maturity dates of the lost, stolen, mutilated, defaced or destroyed Receipts, Coupons or Talons and of the replacement Receipts, Coupons or Talons issued.
CANCELLATION OF NOTES, RECEIPTS, COUPONS AND TALONS. 14.1 All Notes which are redeemed, all Global Notes which are exchanged in full, all Registered Notes which have transferred, all Receipts or Coupons which are paid and all Talons which are exchanged shall be cancelled by the Paying Agent by which they are redeemed, exchanged, transferred or paid. In addition, the Issuer or any of its Subsidiaries may, in accordance with Condition 8.7, surrender to any Paying Agent or the Registrar any Notes, together (in the case of Definitive Bearer Notes) with all unmatured Receipts, Coupons or Talons (if any) attached to them or surrendered with them (or notify a Paying Agent and, in the case of Registered Notes, the Registrar of any beneficial interests in a Global Note), and such Notes (or beneficial interests therein) (and, if applicable, Receipts, Coupons or Talons) shall, to the extent that the Issuer indicates in writing the same to the relevant Paying Agent (or, as applicable, the Registrar), be cancelled by the Paying Agent to which they are surrendered (or, for beneficial interests in a Global Note, be cancelled by the Fiscal Agent or the Registrar). Each of the Paying Agents shall give to the Fiscal Agent details of all payments made by it and shall deliver all cancelled Notes, Receipts, Coupons and Talons to the Fiscal Agent or as the Fiscal Agent may specify.
