Cash Management System; Blocked Account Agreements. Evidence satisfactory to Agent that, as of the Closing Date, Cash Management Systems complying with Annex C to the Agreement have been established and are currently being maintained in the manner set forth in such Annex C, together with copies of duly executed tri-party blocked account and lock box agreements, reasonably satisfactory to Agent, with the banks as required by Annex C.

Evidence satisfactory to Agent that, as of the Closing Date, Cash Management Systems complying with Annex C to the Agreement have been established and are currently being maintained in the manner set forth in such Annex C, together with (i) copies of duly executed tri-party blocked account and lock box agreements, satisfactory to Agent, with the banks as required by Annex C, (ii) evidence satisfactory to Agent that Borrower and Baldxxx Xxxada (a) have instructed Bank of Montreal in writing to change Account No. 3144-1014000 xxxntained with the Bank of Montreal from an operating account to a Disbursement Account and (b) have delivered irrevocable instructions to the Bank of Montreal to forward all payments received in Lock Box No. 70490 xxxm and after the Closing Date to Lock Box No. 632383 of Fifth Third and (iii) evidence satisfactory to Agent that Borrower and Baldxxx Xxxada have sent or on the Closing Date will send written notices to all Account Debtors which have previously been instructed to direct payments to Lock Box No. 70490 xx the Bank of Montreal instructing such Account Debtors thereafter to send such payments to Lock Box No. 632383 maintained by Baldxxx Xxxada at Fifth Third.

Evidence satisfactory to Agent that, as of the Closing Date, Cash Management Systems complying with Annex C to the Agreement have been established and are currently being maintained in the manner set forth in such Annex C, together with copies of duly executed tri-party blocked account and lock box agreements, reasonably satisfactory to Agent, with the banks as required by Annex C or on or prior to the Closing Date, the Interim Order shall have been entered by the Bankruptcy Court providing the Agent, on behalf of the Lenders, with a first priority priming security interest in Borrower’s cash receipts and bank accounts.

Within 60 days after the Closing Date, Borrowers shall deliver to Administrative Agent evidence satisfactory to Administrative Agent that Cash Management Systems complying with ANNEX C to the Agreement have been established and are being maintained in the manner set forth in such ANNEX C, together with copies of duly executed tri-party blocked account and lock box agreements, satisfactory to Administrative Agent, with the banks as required by ANNEX C.

Evidence satisfactory to Administrative Agent that, as of the Closing Date, or within such other time period as provided in this Agreement, (i) Cash Management Systems complying with Annex C to the Agreement have been established and are currently being maintained in the manner set forth in such Annex C, (ii) copies of duly executed tri-party blocked account and lock box agreements, reasonably satisfactory to Administrative Agent, with the banks as required by Annex C, (iii) control letters and/or agreements executed by each depository institution which holds or maintains any deposit account of the Borrower with respect to each such accounts, other than Payroll Accounts, Tax Accounts and Trust Fund Accounts.

The New Term Lenders shall have received from the Borrower evidence satisfactory to the New Term Lenders that, as of the Effective Date, Cash Management System complying with Schedule 2.15 to the Credit Agreement have been established and are currently being maintained in the manner set forth in such Schedule 2.15, together with copies of the duly executed Blocked Account Agreements and lock box agreements, reasonably satisfactory to the Required Lenders, with the banks as required by the Security Agreement and such Schedule 2.15.
