Cash Management Transactions. Notwithstanding anything to the contrary contained in this Agreement or otherwise, at any time and from time to time prior to the Closing, Seller and the Seller Affiliates will be permitted, but not required to, remove all Cash from the Acquired Companies. Without limiting the generality of the foregoing, Seller, the Seller Affiliates, and the Acquired Companies will be permitted to take various actions at any time and from time to time prior to or at the Closing with respect to their management of Cash and the removal of Cash from the Acquired Companies, whether or not in the ordinary course of business, and these actions may include, by way of example and not of limitation, capitalization, distributions, incurrence and repayment of receivables and payables, incurrence and repayment of indebtedness, and other transactions.
Cash Management Transactions. At the present time, You may use Cash Management in conjunction with Your Access Code, an internet connection and a personal computer for the following services: (a) request check withdrawals from Your share and checking Account(s); (b) transfer funds between Your share and checking Account(s) and line of credit accounts; and (c) make inquiries on Your share, checking and term share Account(s) and line of credit and loan accounts. Cash Management operates 24 hours every day. If You attempt to use the system and are told that “the system is not available,” please try again later when service is restored. You may also use the Cash Management platform to access the online bill pay feature to: (a) authorize the Credit Union to issue on Your behalf payments in amounts up to $9,999.99 each; and (b) check the status of payments previously authorized through the online bill pay feature. In order to use the xxxx xxxxx feature for such transactions, You must have a checking Account with Us. By completing a bill pay transaction using the xxxx xxxxx feature, You authorize Us to post any such payments to Your checking Account. Payments will be made by check or electronic transfer and will be sent to the payee on the business day following the date You designate it be sent. The Credit Union cannot guarantee the time any payment will reach any of Your payees and accepts no liability for any service fees or late charges levied against You. Payments requested to be sent on dates that do not exist in a given month (e.g. February 30th or April 31’’). or fall on Saturdays, Sundays, federal reserve and other Credit Union observed holidays will also be sent on the next business day. NETTELLER TRANSACTIONS.   • Cash Management Arrangements Borrower shall cause all Rents to be transmitted directly by tenants of the Property into an Eligible Account (the “Clearing Account”) maintained by Borrower at a local bank selected by Borrower, which shall at all times be an Eligible Institution (the “Clearing Bank”) as more fully described in the Clearing Account Agreement. A form of tenant direction letter for such purpose is attached hereto as Schedule 1. Without in any way limiting the foregoing, all Rents received by Borrower or Manager shall be deposited into the Clearing Account within one (1) Business Day of receipt. Funds deposited into the Clearing Account shall be swept by the Clearing Bank on a daily basis into Borrower’s operating account at the Clearing Bank, unless a Cash Management Period is continuing, in which event such funds shall be swept on a daily basis into an Eligible Account at the Deposit Bank controlled by Lender (the “Deposit Account”) and applied and disbursed in accordance with this Agreement. Funds in the Deposit Account shall be invested at Lender’s discretion only in Permitted Investments. Lender will also establish subaccounts of the Deposit Account which shall at all times be Eligible Accounts (and may be ledger or book entry accounts and not actual accounts) (such subaccounts are referred to herein as “Subaccounts”). The Deposit Account and any Subaccount will be under the sole control and dominion of Lender, and Borrower shall have no right of withdrawal therefrom. Borrower shall pay for all expenses of opening and maintaining all of the above accounts.

Notwithstanding any other provision of this Article IX to the contrary, the Administrative Agent shall not be required to verify the payment of, or that other satisfactory arrangements have been made with respect to, Secured Obligations arising under Secured Cash Management Agreements and Secured Hedge Agreements except to the extent expressly provided herein and unless the Administrative Agent has received a Secured Party Designation Notice of such Secured Obligations, together with such supporting documentation as the Administrative Agent may request, from the applicable Cash Management Bank or Hedge Bank, as the case may be. The Administrative Agent shall not be required to verify the payment of, or that other satisfactory arrangements have been made with respect to, Secured Obligations arising under Secured Cash Management Agreements and Secured Hedge Agreements in the case of a Facility Termination Date.

  • Hedging Arrangements To the extent any Affiliate of a Lender is a party to a Secured Hedging Agreement with the Borrower, such Affiliate of a Lender shall be deemed to appoint the Administrative Agent its nominee and agent, and to act for and on behalf of such Affiliate in connection with the Security Documents and to be bound by this Article IX.
