CBA. (a) undertakes to do everything reasonably within its power (including the proffering of a guarantee or indemnity by CBA and, to the extent within CBA's power, the Commonwealth of Australia, in substitution for the guarantees and indemnities given by the Treasurer or by the Government of Xxxxxxxx referred to in clause 8.1) to procure as soon as reasonably practicable the absolute and unconditional release and discharge of the Treasurer and the Government of Xxxxxxxx from all and any duties, responsibilities, obligations and liabilities whatsoever arising in connection with the guarantees and indemnities referred to in clause 8.1;
(b) covenants not to issue any further securities or materially breach or be in default under the borrowing and note issues and agreements listed in Schedule A; and
(c) indemnifies the Treasurer and the Government of Victoria against every claim, action, damage, loss, liability, cost, charge, expense, outgoing or payment (other than payments made by the Treasurer or the Government of Victoria without legal obligation to do so to any person in the nature of a claimant or plaintiff) which the Treasurer or the Government of Victoria suffers, incurs or is liable for after the Completion Date under or pursuant to the guarantees and indemnities referred to in clause 8.1.
CBA. As Xxxx had stated at the Xxxxxx’x Deli meeting, Short (Xxxxxx) referenced 14 the Single-Production CBAs with Nu Image and noted that Nu Image had not paid 15 and did not have to pay Residual Contributions. Short (Xxxxxx) further represented 16 that, like other independent producers, Nu Image would not have to pay Residual 17 Contributions in the future in connection with the Overall CBA.
18 25. IATSE made the representations described above knowing they were 19 false or in reckless disregard for the truth.

In May 2006, in reliance on IATSE’s representations that it would not 21 have to pay Residual Contributions in the future, Nu Image agreed to enter into an 22 Overall CBA, which purports to incorporate the Basic Agreement’s Residual 23 Contribution provisions.2 In addition, Nu Image subsequently made significant
