Certain Waiting Periods. (i) Any waiting period under the HSR Act applicable to any of the transactions contemplated hereby shall have expired or been earlier terminated, and (ii) no antitrust authority shall have required Parent, Sellers or any of their affiliates to continue to own any of the Acquired Assets or to have required any party hereto to divest, separate or offer for sale any of their assets.
