Certificate as to Representations and Warranties. A certificate by the Transferor Agent to the effect that, to its knowledge, all of the representations and warranties of the Transferor Partnership set forth in this Agreement remain true and correct as of the Closing Date.
Certificate as to Representations and Warranties. Deliver to the Transferor Members a certificate by the BRI Partnership to the effect that all of the representations and warranties of the BRI Partnership set forth in this Agreement remain true and correct as of the Closing Date.

The obligations of the Authority hereunder and the delivery of the Bonds are conditioned upon the receipt by the Authority at or prior to delivery of the Bonds of a certificate of an Authorized Officer of the Institution acceptable to the Authority to the effect that the representations and warranties contained herein are true and correct and in full force and effect on and as of the date of delivery of the Bonds as if made on the date of delivery of the Bonds.

A certificate in the form attached hereto as Exhibit F, dated as of the Closing Date (or in blank with instructions to the Title Company to date as of the Closing Date) and executed on behalf of Seller by a duly authorized officer thereof, reaffirming that the representations and warranties of Seller contained in this Agreement are true and correct in all material respects as of the Closing Date (with appropriate modifications of those representations and warranties made in Section 5.1 hereof to reflect any changes therein including without limitation any changes resulting from actions under Section 5.4 hereof) or identifying any representation or warranty which is not, or no longer is, true and correct and explaining the state of facts giving rise to the change;

Certificate as to Representations and Warranties. There shall be delivered to Medical a certificate, dated the Closing Date, signed by the President and Secretary of Sharps and by Xx. Xxxx Xxxxx, as representative of the Stockholders, certifying that the representations contained in this Agreement are true on the Closing Date with the same force and effect as though made at and as of the Closing Date, and to the effect that all obligations of Sharps and the Stockholders hereunder to be performed prior to the Closing Date have been performed.
Certificate as to Representations and Warranties. All of the Buyer's representations and warranties contained in this Agreement or in any certificate or document delivered pursuant to the provisions hereof shall be true as of the Closing Date as though such representations and warranties were made on such date (except to the extent that it is stated herein to be true as of some other date and except to reflect changes permitted or contemplated by this Agreement), and Buyer shall have executed, performed and complied with all agreements and conditions required by this Agreement to be executed, performed or complied with by it and the Buyer shall deliver to the Company a certificate signed by its secretary to that effect.
Certificate as to Representations and Warranties. Each Seller as to the portion of the Project owned by each such party: a certificate ("Closing Certificate") certifying to Purchaser that, subject to Sections 10.06 and 10.07, the representations and warranties of such Seller set forth in Section 10.01 hereof are true and correct in all material respects as of the Closing Date as if made on such date;
Certificate as to Representations and Warranties. At the Closing Date, the Representative shall receive a certificate of the Chairman, President or a Vice President of the Company, dated the Closing Date, to the effect that the representations and warranties of the Company in this Agreement are true and correct as of the Closing Date.
Certificate as to Representations and Warranties. Each of the Company, Xxxxx and Conceicao shall have executed and delivered to PlayStar a certificate confirming the accuracy of all of the representations and warranties of the Company, Xxxxx and Xxxxxxxxx contained in this Agreement.
