CERTIFICATE OF AUTHORISED SIGNATORY. The Note Trustee may call for and shall be at liberty to accept as sufficient evidence of any fact or matter or the expediency of any transaction or thing, unless any of its officers in charge of the administration of this Deed shall have actual knowledge or express notice to the contrary, a certificate signed by two Directors of the Issuer and the Note Trustee shall not be bound in any such case to call for further evidence or be responsible for any loss that may be occasioned by the Note Trustee acting on such certificate.

CERTIFICATE OF AUTHORISED SIGNATORY send to the Trustee, within 14 days of its annual audited financial statements being made available to its shareholders, and also within 14 days of any request by the Trustee a certificate of the Guarantor signed by any two of its duly authorised signatories that, having made all reasonable enquiries, to the best of the knowledge, information and belief of the Guarantor as at a date (the “Certification Date”) not more than five days before the date of the certificate no Event of Default or Potential Event of Default or other breach of this Trust Deed had occurred since the Certification Date of the last such certificate or (if none) the date of this Trust Deed or, if such an event had occurred, giving details of it;
