Cessation Of Plant Operations. Buyer acknowledges that Seller will not operate the Plant that is the source of Helium to be supplied hereunder, if such continued operation becomes technically or commercially impracticable. If Seller in good faith elects not to operate or is unable to operate the Plant for any reason, then Seller shall give Buyer as much advance Notice as reasonably practicable of its intent to shut down the Plant and this Agreement will terminate on the date that the Plant shut downs. If any amount of the Advance remains outstanding and unpaid at such time, the Seller shall repay the Advance in full, together with all accrued and unpaid interest thereon, by paying the total of all remaining Monthly Installments to Buyer, within five (5) days of the Plant shutting down. 3.3
