Change in Location of Chief Executive Office. (a) Change the location of its chief executive office or principal place of business (within the meaning of the applicable Uniform Commercial Code) without sixty (60) days’ prior written notice to the Indenture Trustee or (b) change its name or the jurisdiction of its formation without prior written notice to the Indenture Trustee sufficient to allow the Indenture Trustee to execute all filings prepared by the Issuer (including filings of financing statements on form UCC- 1) and recordings necessary to maintain the perfection of the interest of the Indenture Trustee on behalf of the Noteholders in the Pledged Assets pursuant to this Indenture. If the Issuer desires to so change its office or change its name or the jurisdiction of its formation, the Issuer will make any required filings and prior to actually changing its office or its name or the jurisdiction of its formation the Issuer shall deliver to the Indenture Trustee (i) an Officer’s Certificate and (ii) copies of all such required filings with the filing information duly noted thereon by the office in which such filings were made;
Change in Location of Chief Executive Office. Borrower covenants and agrees that it will not, without at least fifteen (15) days prior written notification to Lender, relocate its chief executive office to a new location.
Change in Location of Chief Executive Office. INVENTORY AND EQUIPMENT WITH BAILEES. Borrower will not, and will not permit any of the other Obligors to, relocate its chief executive office to a new location without providing 30 days prior written notification thereof to Agent and so long as, at the time of such written notification, Borrower provides any financing statements or fixture filings necessary to perfect and continue perfected the Agent's Liens and also provides to Agent a Collateral Access Agreement with respect to such new location. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Borrower providing Agent with a Collateral Access Agreement.
Change in Location of Chief Executive Office. Relocate its chief executive office to a location requiring the filing of new UCC-1 financing statements or UCC-2 or UCC-3 financing statement amendments (as the case may be), without providing 30 days prior written notification thereof to Facility Agent and so long as, at the time of such written notification, Borrower provides any financing statements or fixture filings necessary to perfect and continue perfected the Lien of Facility Agent (for the benefit of the Lender Group), and Borrower shall use its best efforts to obtain a Collateral Access Agreement (in form reasonably satisfactory to Agents) from any lessor of such new location.
Change in Location of Chief Executive Office. Relocate its chief executive office or its Books and Records unless Borrower provides Agent at least 30 days prior written notice of such relocation.
Change in Location of Chief Executive Office. Relocate without thirty (30) days prior written notification to Alliance, its chief executive office.
Change in Location of Chief Executive Office. Relocate its chief executive office to a new location without providing 30 days prior written notification thereof to Bank.
Change in Location of Chief Executive Office. INVENTORY AND ----------------------------------------------------------- EQUIPMENT WITH BAILEES. Without thirty (30) days prior written notification to ---------------------- Foothill, relocate its chief executive office to a new location, unless, at the time of such written notification, it provides any financing statements or fixture filings necessary to perfect and continue perfected Foothill's security interests and also provides to Foothill a landlord's waiver in form and substance satisfactory to Foothill. The Inventory and Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Foothill's prior written consent.
Change in Location of Chief Executive Office. Relocate its chief executive office, its books and records, or a substantial portion of any other Collateral to a new location without providing thirty (30) days’ prior written notification thereof to Lender and so long as, at the time of the written notification, Borrower or the applicable Affiliate provides any financing statements or fixture filings necessary to perfect and continue perfected the Lender’s Liens and also provides to Lender a Collateral Access Agreement with respect to the new location in form acceptable to Lender in its discretion.

Relocate its chief executive office to a new location without ------- Administrative Borrower providing 30 days prior written notification thereof to Agent and so long as, at the time of such written notification, the applicable Borrower provides any financing statements or fixture filings necessary to perfect and continue perfected the Agent's Liens and, if required by Agent, also provides to Agent a Collateral Access Agreement with respect to such new location. The Equipment shall not at any time now or hereafter be stored with a bailee, warehouseman, or similar party without Agent's prior written consent.
