Common use of CHANGE OF SPECIFIED OFFICE Clause in Contracts

CHANGE OF SPECIFIED OFFICE. If the Agent or any other Paying Agent determines to change its specified office it shall give to the Issuers and the Guarantor and (if applicable) the Agent written notice of such determination giving the address of the new specified office which shall be in the same city and stating the date on which such change is to take effect, which shall not be less than 45 days thereafter. The Agent (on behalf of the Issuers and the Guarantor) shall within 15 days of receipt of such notice (unless the appointment of the Agent or the relevant Paying Agent, as the case may be, is to terminate pursuant to Clause 21 on or prior to the date of such change) give or cause to be given not more than 45 days’ nor less than 30 days’ notice thereof to the Noteholders in accordance with the Conditions.

The Transfer Agent (on behalf of the Issuers NHI and the Guarantor) shall within 15 days of receipt of such notice (unless the appointment of the Transfer Agent or the relevant Paying Agent, as the case may be, is to terminate pursuant to Clause 21 19 on or prior to the date of such change) give or cause to be given not more than 45 days’ nor less than 30 days’ notice thereof to the Noteholders in accordance with the Conditions.

The Principal Paying Agent (on behalf and at the expense of the Issuers and the GuarantorIssuer) shall within 15 days of receipt of such notice (unless the appointment of the relevant Agent or the relevant Paying Agent, as the case may be, is to terminate pursuant to Clause 21 24 on or prior to the date of such change) give or cause to be given not more than 45 days’ nor less than 30 days’ notice thereof to the Noteholders in accordance with the Conditions.

The Principal Paying Agent (on behalf and at the expense of the Issuers and the GuarantorIssuers) shall within 15 days of receipt of such the notice (unless the appointment of the relevant Agent or the relevant Paying Agent, as the case may be, is to terminate pursuant to Clause 21 clause 25 on or prior to the date of such the change) give or cause to be given not more than 45 days’ ' nor less than 30 days’ ' notice thereof of the change to the Noteholders in accordance with the Conditions.
