Changes to Terms of Appointment. Neither the Authority nor D&B Co shall without the other's prior written approval (not to be unreasonably withheld or delayed):
Changes to Terms of Appointment. (a) Neither IO nor Project Co shall without the other’s prior written approval (not to be unreasonably withheld or delayed):
(i) waive, settle, compromise or otherwise prejudice any rights or claims which the other may from time to time have against the Independent Certifier; or
(ii) vary the terms of the Independent Certifier Agreement or the service performed or to be performed by the Independent Certifier.
(b) The Parties shall perform their respective obligations arising under or in connection with the Independent Certifier Agreement.

18.2.1 terminate, repudiate or discharge the Independent Certifier's Deed of Appointment or treat the same as having been terminated, repudiated or otherwise discharged; or
18.2.2 waive, settle, compromise or otherwise prejudice any rights or claims which the other may from time to time have against the Independent Certifier; or
18.2.3 vary the terms of the Independent Certifier's Deed of Appointment or the service performed or to be performed by the Independent Certifier.

(a) terminate or repudiate the services of or discharge the Independent Certifier;
(b) waive, settle, compromise or otherwise prejudice any rights or claims which the Municipality may from time to time have against the Independent Certifier; and/or
(c) vary the terms of the Independent Certifier Agreement or the services performed or to be performed by the Independent Certifier.
20.2.2 The Parties specifically agree to comply with and fulfil their duties and obligations arising under or in connection with the Independent Certifier Agreement.
