Claims for Adjustment to the Contract Time for Unusual Adverse Weather Conditions Not Reasonably Anticipated 8.1.6.1 The parties hereto recognize that Work performed outside will at times be subject to adverse weather conditions. Further, the parties hereto agree that usual weather conditions include adverse weather that may impact scheduled Work and that time has been factored in to the Contract Time to account for such adverse weather. In addition to the provisions of Subparagraph 8.1.5, Contract Time may be extended for unusual adverse weather conditions that prevent the performance of scheduled Work. For the avoidance of doubt, “scheduled Work” shall only include Work impacted by adverse weather that is reflected on Contractor’s schedule and the most recent update submitted to the City pursuant to Subparagraph 7.8. 1. For the further avoidance of doubt, “unusual adverse” shall only mean days in excess of the days factored in to the Contract Time for usual adverse weather for each month as follows: January (7 days), February (6 days), March (5 days), April (3 days), May (3 days), June (2 days), July (1 day), August (3 days), September (3 days), October (2 days), November (4 days), and December (5 days). Contract Time may not be extended for days lost due to adverse weather conditions within these limits. The Contractor shall give the City written notice and claim for adjustment of the Contract Time arising out of unusual adverse weather in accordance with the requirements set forth in Subparagraph 8.1.5, provided, however, the Contractor’s written notice and claim shall include a description of the adverse weather, the nature and extent of the delay caused by such weather, official weather reports, and other supporting documentation as the City may reasonably require. An adjustment to the Contract Time, as provided for hereunder, shall be Contractor’s sole and exclusive remedy for any delay to or impact upon the performance of the Work caused by unusual adverse weather conditions. In no event shall Contractor be entitled to an adjustment in the Contract Price for any costs, expenses or damages incurred by Contractor arising out of or resulting from any such delay or impact to its performance of the Work. To extent that any of the terms and conditions set forth in this paragraph are in conflict with any of the terms and conditions of Subparagraph 8.1.5, the terms and conditions of this paragraph shall govern and control.   • Claims for Additional Time 1 If the Contractor wishes to make a Claim for an increase in the Contract Time, written notice as provided herein shall be given. The Contractor’s Claim shall include an estimate of cost and of probable effect of delay on progress of the Work. In the case of a continuing delay, only one Claim is necessary.

  • CLAIMS FOR ADDITIONAL COST 12.3.1 If the Contractor wishes to make a claim for an increase in the Contract Sum, he shall give the Architect written notice thereof within twenty days after the occurrence of the event giving rise to such claim. This notice shall be given by the Contractor before proceeding to execute the Work, except in an emergency endangering life or property in which case the Contractor shall proceed in accordance with Paragraph 10.3 of these General Conditions. No such claim shall be valid unless so made. If the State and the Contractor cannot agree on the amount of the adjustment in the Contract Sum, it shall be determined by the Architect. Any change in the Contract Sum resulting from such claim shall be authorized by Change Order. 12.3.2 If the Contractor claims that additional cost is involved because of, but not limited to, (1) any order by the State to stop the Work pursuant to Paragraph 3.3 of these General Conditions where the Contractor was not at fault, or (2) failure of payment by the State pursuant to Paragraph 9.7(of these General Conditions), the Contractor shall make such claim as provided in Subparagraph 12.3.1 of this agreement. 12.3.3 The Architect will have authority to order minor changes in the Work not involving an adjustment in the Contract Sum or an extension of the Contract Time and not inconsistent with the intent of the Contract Documents. Such changes shall be effected by written order and shall be binding on the State and Contractor within 10 days unless the Contractor or the State objects to the change in writing.

  • Disputes and Adjustments of Invoices In the event an invoice or portion thereof or any other claim or adjustments arising hereunder, is disputed, payment of the undisputed portion of the invoice shall be required to be made when due, with Notice of the objection given to the other Party. Any invoice dispute or invoice adjustment shall be in writing and shall state the basis for the dispute or adjustment. Payment of the disputed amount shall not be required until the dispute is resolved. Inadvertent overpayments shall be returned upon request or deducted by the Party receiving such overpayment from subsequent invoices, with interest accrued at the Interest Rate from and including the date of such overpayment to but excluding the date repaid or deducted by the Party receiving such overpayment. Any dispute with respect to an invoice is waived unless the other Party is Notified in accordance with this Section 9.4 within twelve (12) months after the invoice is rendered or any specific adjustment to the invoice is made. If an invoice is not rendered within twelve (12) months after the close of the month during which performance giving rise to the payment obligation occurred (or in the case of amounts based on CAISO invoices within twelve (12) months after the close of the month during which such invoice or revised invoice giving rise to the payment obligation was rendered), the right to payment for such performance is waived.

  • No Adjustment of Exercise Price in Certain Cases No adjustment of the Exercise Price shall be made if the amount of said adjustment shall be less than one cent ($.01) per Share, provided, however, that in such case any adjustment that would otherwise be required then to be made shall be carried forward and shall be made at the time of and together with the next subsequent adjustment which, together with any adjustment so carried forward, shall amount to at least one cent ($.01) per Share.

  • ADJUSTMENT OF GRIEVANCES 8.01 (a) It is the mutual desire of the parties hereto that complaints of employees be adjusted as quickly as possible. (b) It is agreed that there shall be no discrimination exercised in any manner towards the Stewards or Union Grievance Committee. 8.03 A grievance under the provisions of this Agreement is defined to be any differences between the parties or between the Company and employees covered by this Agreement involving the interpretation, application, administration or alleged violation of any of the provisions of this Agreement. 8.04 Grievances as defined above may be taken by the employee, by the Union Xxxxxxx or the Union representative having jurisdiction directly to the employee's immediate supervisor for adjustment outside of working hours. The grievance shall be presented without undue delay. Any grievance submitted to the xxxxxxx, in accordance with this procedure, in writing, will be disposed of by the xxxxxxx in writing.
