Client Components. At Javelin’s sole discretion, either Javelin will procure all necessary Javelin Components and shall send to PPS in amounts and on a schedule as PPS may direct and that are reasonably correlated to any outstanding purchase orders, or [*CONFIDENTIAL TREATMENT HAS BEEN REQUESTED AS TO CERTAIN PORTIONS OF THIS DOCUMENT. If Javelin elects to have PPS procure Javelin Components, PPS shall utilize the same standard of care it uses when purchasing materials for itself and will utilize commercially reasonable efforts to obtain the best terms possible. In the event that Javelin elects or directs PPS to purchase quantities in excess of what PPS requires pursuant to outstanding purchase orders and desires PPS to store such components, then the Parties will negotiate reasonable terms to cover PPS’s cost of storage and other related expenses.

Client Components. It is mutually understood and agreed that all Hardware components of the New System shall be procured by, and owned by or leased to, Client (or an Affiliate of Client); that all operating Software for such Hardware components shall be procured by and licensed to Client (or an affiliate of Client); and that all of such Hardware and operating Software components (collectively, "Client's Components") shall be selected by Client (and may be replaced at any time by Client) in its sole discretion, although AC shall make recommendations for such selections and shall assist Client in attempting to negotiate favorable terms for such purchases, leases and licenses. With respect to all of Client's Components: (i) Client shall make the Client Components available to AC throughout the "Term" (as defined below) to the extent necessary to enable AC to perform the System Services; (ii) Client shall assign to AC, for the duration of the Term, all warranties and other benefits available to Client as purchaser or licensee of the Client Components, to the extent necessary in order for AC to perform the System Services; (iii) AC shall be responsible for coordination of maintenance activities of Client Components; and (iv) Client shall grant, and does hereby grant to AC the right and license to use the Client Components, to the extent necessary in order for AC to perform the System Services, throughout the Term, which right and license shall be exclusive, subject to Client's or its Affiliates' right to utilize the Client Components and the output and benefits of the Client Components in the course of its business and subject to any rights of Client to engage third parties pursuant to Sections 3.4 or 3.5 of this Agreement.

  • Additional Products Throughout the Term, Rockwell shall provide to DaVita and the DaVita Facilities the right to purchase and/or lease all current or new products manufactured, utilized, licensed, sold or distributed by Rockwell or any of its Affiliates (including products and product lines acquired by Rockwell or any of its Affiliates as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates) that are or that become Commercially Available and which are not already covered by this Agreement or by any other agreement, whether written or oral, between the parties hereto (such products are collectively referred to as “Additional Products” and individually as an “Additional Product”). Rockwell agrees to include DaVita in all of its and its Affiliates distributions of customer announcements regarding Rockwell’s or its Affiliates’ Additional Products. The purchase price for any such Additional Products shall be negotiated by the parties hereto in good faith and the agreed upon purchase price shall be memorialized in writing as a supplement or amendment to this Agreement. Rockwell covenants and agrees that it shall only make an offer for the sale of any Additional Product(s) to DaVita’s Vice-President of Clinical Operations, Chief Medical Officer, or Vice-President of Purchasing, and not to any DaVita Facility directly; provided that the purchase of any Additional Product by DaVita or any DaVita Facility through a Rockwell product catalog made generally available to the dialysis community shall not be a breach by Rockwell of this Section 8.1. If Rockwell or any of its Affiliates acquires any Additional Product(s) as a result of an acquisition, merger or other transaction involving Rockwell or any of its Affiliates with a Person with which DaVita or a DaVita Facility, as applicable, already has a purchase or rebate arrangement whether written or oral (a “Prior Agreement”), Rockwell or such Affiliate covenants and agrees that it shall continue to abide by all of the terms and conditions of such Prior Agreement or if DaVita requests, such Additional Product(s) shall be included in this Agreement on terms to be negotiated and determined by the parties hereto as provided in this Section 8.1.

  • Supply of Materials Unless the parties otherwise agree in a Work Order, Manufacturer will supply, in accordance with the relevant approved raw material specifications, all materials to be used by Manufacturer in the performance of Services under a Work Order other than the Rhythm Materials specified in such Work Order. Rhythm or its designees will provide Manufacturer with the Rhythm Materials. Manufacturer agrees (a) to account for all Rhythm Materials, (b) not to provide Rhythm Materials to any third party (other than an Affiliate acting as a permitted subcontractor) without the express prior written consent of Rhythm, (c) not to use Rhythm Materials for any purpose other than conducting the Services, including, without limitation, not to analyze, characterize, modify or reverse engineer any Rhythm Materials or take any action to determine the structure or composition of any Rhythm Materials unless required * CONFIDENTIAL TREATMENT REQUESTED.   • Designated Configuration; Trained Personnel State Street and the Fund shall be responsible for supplying, installing and maintaining the Designated Configuration at the Designated Locations. State Street and the Fund agree that each will engage or retain the services of trained personnel to enable both parties to perform their respective obligations under this Addendum. State Street agrees to use commercially reasonable efforts to maintain the System so that it remains serviceable, provided, however, that State Street does not guarantee or assure uninterrupted remote access use of the System.
