Outstanding Purchase Orders. Notwithstanding the foregoing, in the event (i) this Agreement is terminated for convenience by Seller, and (ii) provided Buyer is and remains current in its payment obligations, Seller shall honor all outstanding Purchase Orders as of the date of termination and Buyer shall have the right to make a last-time-buy of Product or Finished Devices.
Outstanding Purchase Orders. Purchase Orders entered into prior to the expiration or termination of this Agreement shall be valid and remain in effect for the period of time necessary to fulfill the terms of the Purchase Order, provided that: (a) Elgressy shall have no obligation to confirm Purchase Orders requesting delivery after expiration of this Agreement, and (b) after a notice of termination is given, the Marketing Arm will remain obligated to confirm purchase orders requesting delivery prior to the effective date of termination. The provisions of this Agreement shall be applicable to an otherwise valid purchase order, notwithstanding the termination or expiration of this Agreement
Outstanding Purchase Orders. Upon termination of this Agreement for a reason other than sanofi-aventis’ material breach, CPP shall purchase Products from sanofi-aventis for which sanofi-aventis has outstanding purchase orders from CPP (if so requested by sanofi-aventis).
Outstanding Purchase Orders. Upon expiration of this Agreement or earlier termination by Kamada or Kedrion, as the case may be:
13.7.1.1. The terminating Party, at its option, may cancel all unfilled orders if the termination is for cause;
13.7.1.2. If Kamada terminates this Agreement Kedrion shall pay all outstanding invoices for the Products or other amounts owed to Kamada on the effective date of termination; and
13.7.1.3. If Kedrion terminates this Agreement Kamada shall pay amounts owed to Kedrion on the effective date of termination, if any, and Kedrion shall have the option to return any of the Product in Sellable Condition (hereinafter defined) in its possession to Kamada, at Kamada’s cost and expense in consideration for the Purchase Price paid by Kedrion for the Product, which option must be exercised on or before [*****] business days following the effective date of termination. As used herein, “Sellable Condition” shall mean “current” as per the Specifications prevailing at that time and having at [*****] months of shelf life remaining based upon the expiration date on the packaging.

Outstanding Purchase Orders. The full benefit of any and all purchase orders placed with and accepted by Seller on or before the Closing Date that have not been completely performed by Seller before the Closing Date, covering the purchase from Seller of products to be supplied by Seller, or covering the rendition by Seller of service on products supplied by Seller (including, without limitation, those items listed on SCHEDULE 1.6) (the "Outstanding Customer Purchase Orders").
Outstanding Purchase Orders. Buyer hereby acknowledges and agrees that, in the ordinary course of Seller's business (including the Business), Seller issues purchase orders for inventory and allocates portions of such inventory between the Business and Seller's retail video game business. To the extent any such purchase orders are outstanding at the Effective Time or placed with Buyer's consent after the Effective Time, and the inventory relating to such purchase orders is not located in any Store or either of Seller's distribution centers located in West Chester, Pennsylvania and Louisville, Kentucky at the Effective Time, Seller will sell to Buyer, and Buyer will purchase from Seller, whenever received after the Effective Time, all inventory subject of such invoices and allocated to the Business in accordance with past practice, in consideration for which Buyer shall pay to Seller, within 30 days after receipt of such inventory, the invoice price for such inventory, including applicable shipping costs for its allocated share.
Outstanding Purchase Orders. All Purchase Orders issued prior to the expiration or termination of this Agreement must be fulfilled pursuant to and subject to the terms of this Agreement, even if the Delivery Date is after expiration or termination.
Outstanding Purchase Orders. Prior to purchasing inventory directly from any third party vendor, Buyer will use commercially reasonable efforts to purchase inventory under outstanding purchase orders of Seller with Seller's vendors as identified on Schedule 5.6.
