Collateral Enforcement. If an Event of Default occurs and is continuing, subject to the terms of this Indenture and the Collateral Agreements (including the Osisko Intercreditor Agreement and any Intercreditor Agreement (to the extent in effect at such time)), the Collateral Agent may, at any time: (1) realize upon or otherwise dispose of or contract to dispose of the Pledged Assets by sale, transfer or delivery; (2) exercise and enforce all rights and remedies of a Holder of the Pledged Assets as if the Collateral Agent were the absolute owner (including, if necessary, causing the Pledged Assets to be registered in the name of the Collateral Agent or its nominee); (3) collect any dividends, distributions or proceeds arising in respect of the Pledged Assets; (4) provide instruction or order to any issuer or securities intermediary pursuant to any control agreement the Collateral Agent has over the Pledged Assets; (5) appoint by instrument in writing a receiver, receiver and manager or agent of all or any part of the Pledged Assets and removal or replacement from time to time of any receiver or agent; (6) institute proceedings in any court of competent jurisdiction for the appointment of a receiver of all or any part of the Pledged Assets; or (7) exercise any other right, remedy or proceeding authorized or permitted under the PPSA or the Uniform Commercial Code, as applicable, or otherwise by law or equity, in each case without demand of performance or other demand, advertisement or notice of any kind to or upon the Company (except as may be required by law).

Collateral Enforcement. Until the Discharge of the Senior Obligations, whether or not any Insolvency Proceeding has been commenced by or against any Obligor or any of its Subsidiaries, no Subordinated Claimholder shall: (1) exercise any Secured Creditor Remedies (other than if an Insolvency Proceeding has been commenced, seeking adequate protection, to the extent permitted by this Agreement); (2) contest, protest, or object to any Exercise of Secured Creditor Remedies by any Senior Claimholder and no Subordinated Claimholder shall have any right to direct the Exercise of any Secured Creditor Remedies or other action by any Senior Claimholder (other than as expressly provided for herein); and (3) object to (and hereby waives any and all claims with respect to) the forbearance by any Senior Claimholder from Exercising any Secured Creditor Remedies.
Collateral Enforcement. As to the General Collateral, the Commodities Assets, and the Assets Held for Sale, any enforcement action against such collateral must be authorized by the Required Lenders, provided, that if (i) an Event of Default continues for two months without being waived or cured or (ii) the Maturity Date has occurred, either the Term Lenders or SCB can proceed to enforce remedies against the General Collateral. "Required Lenders" will be defined as SCB plus 51% of the Term Lenders and the Term Loan Agent.
Collateral Enforcement. Creditors of the Borrower or the Borrower having a Lien against or in respect of the property and assets thereof, or any part thereof, realize upon or enforce any such security against such property and assets or any part thereof and such realization or enforcement shall continue in effect and not be released, discharged or stayed within the lesser of twenty (20) days and the period of time prescribed under applicable laws for the completion of the sale of or realization against the assets subject to such seizure or attachment.

  • Law Enforcement 24.1 Each Party may cooperate with law enforcement authorities and national security authorities to the full extent required or permitted by Applicable Law in matters related to Services provided by it under this Agreement, including, but not limited to, the production of records, the establishment of new lines or the installation of new services on an existing line in order to support law enforcement and/or national security operations, and, the installation of wiretaps, trap-and-trace facilities and equipment, and dialed number recording facilities and equipment. 24.2 A Party shall not have the obligation to inform the other Party or the Customers of the other Party of actions taken in cooperating with law enforcement or national security authorities, except to the extent required by Applicable Law. 24.3 Where a law enforcement or national security request relates to the establishment of lines (including, but not limited to, lines established to support interception of communications on other lines), or the installation of other services, facilities or arrangements, a Party may act to prevent the other Party from obtaining access to information concerning such lines, services, facilities and arrangements, through operations support system interfaces.

  • ADDITIONAL ENFORCEMENT ACTIONS Upon a determination by the Director that there is a threat to the public health or the environment, or upon discovery of any new information, RIDEM reserves the right to take additional enforcement actions as provided by law or regulation, including, but not limited to, the issuance of “Immediate Compliance Orders” as authorized by R.I. Gen. Laws Section 42-17.1- 2(21). This Agreement shall not restrict any right to hearing or other right available by statute or regulation that the Respondents may have regarding any new enforcement action commenced by RIDEM after the execution of this Agreement.

  • Specific Enforcement Each party hereto acknowledges that the remedies at law of the other parties for a breach or threatened breach of this Agreement would be inadequate and, in recognition of this fact, any party to this Agreement, without posting any bond, and in addition to all other remedies that may be available, shall be entitled to obtain equitable relief in the form of specific performance, a temporary restraining order, a temporary or permanent injunction or any other equitable remedy that may then be available.

  • GOVERNING LAW & ENFORCEMENT The terms of this Settlement Agreement shall be governed by the laws of the State of California and apply within the State of California. For purposes of this Settlement Agreement only, the Settling Entity stipulates that the Superior Court of California shall have personal jurisdiction over it for the limited and sole purpose of an action to enforce the terms of this Settlement Agreement, brought without joinder of other claims. As an expressed condition of this Settlement Agreement, the Settling Entity waives any exemptions under California Health & Safety Code §25249.6

  • Validity; Enforcement This Agreement has been duly and validly authorized, executed and delivered on behalf of the Investor and is a valid and binding agreement of the Investor enforceable against the Investor in accordance with its terms, subject as to enforceability to general principles of equity and to applicable bankruptcy, insolvency, reorganization, moratorium, liquidation and other similar laws relating to, or affecting generally, the enforcement of applicable creditors' rights and remedies.

  • Costs of Enforcement The Company agrees that if the Company or any other Person the securities of which are purchasable upon exercise of Rights fails to fulfill any of its obligations pursuant to this Agreement, then the Company or such Person will reimburse the holder of any Rights for the costs and expenses (including legal fees) incurred by such holder in actions to enforce such holder's rights pursuant to any Rights or this Agreement.

  • Authorization and Enforcement of Obligations Such party (a) has the corporate power and authority and the legal right to enter into this Agreement and to perform its obligations hereunder, and (b) has taken all necessary corporate action on its part to authorize the execution and delivery of this Agreement and the performance of its obligations hereunder.   • Cost of Enforcement In the event either party commences a judicial action to enforce the provision of this Agreement, the prevailing party in such action shall be entitled to recover, in addition to such other amounts as may be permitted by law, all costs and expenses incurred by it in the prosecution of defense of such action, including reasonable attorneys’ fees.
