Collateral Searches. The Administrative Agent shall have received the results of searches for any effective UCC or PPSA financing statements, tax Liens, judgment Liens or Liens against Intellectual Property filed against any Loan Party or its property, which results shall not show any such Liens (other than Permitted Liens acceptable to the Agents and the Lenders).
Collateral Searches. Receipt by the Lender of (i)(A) searches of UCC filings in the jurisdiction of incorporation or formation, as applicable, of each Loan Party, copies of the financing statements on file in such jurisdictions and evidence that no Liens exist other than Permitted Liens and (B) tax lien and judgment searches and (ii) searches of ownership of Intellectual Property owned by each of the Loan Parties in the appropriate U.S. governmental offices.
Collateral Searches. Within 15 days after the Third Amendment Effective Date (unless extended by the Administrative Agent in its sole discretion), the Loan Parties shall deliver to the Administrative Agent such UCC, Lien and Intellectual Property, charge, and other searches (to the extent available in any non-U.S. jurisdiction) requested by the Administrative Agent with respect to Pericom and its Subsidiaries, and other evidence satisfactory to the Administrative Agent that such Liens are the only Liens upon the Collateral granted by Pericom, except Liens permitted under the Credit Agreement; provided that, with respect to any Lien for which the Administrative Agent requests the Loan Parties to provide appropriate mortgage, intellectual property and lien releases and termination statements, the Loan Parties shall provide such completed and (where applicable) executed documentation within 5 Business Days of such request (unless extended by the Administrative Agent in its sole discretion).
