Collateral Sharing Agreement. By becoming a party to this Agreement, each Grantor agrees to be bound by the terms of the Collateral Sharing Agreement and, without limiting the generality of the foregoing, expressly agrees that all obligations and liabilities of a Grantor thereunder apply to such Grantor with the same force and effect as if such Grantor were a signatory thereto.
Collateral Sharing Agreement. By becoming a party to this Agreement, each Pledgor agrees to be bound by the terms of the Collateral Sharing Agreement and, without limiting the generality of the foregoing, expressly agrees that all obligations and liabilities of a Pledgor thereunder apply to such Pledgor with the same force and effect as if such Pledgor were a signatory thereto.
Collateral Sharing Agreement. The Administrative Agent is authorized to enter into the Collateral Sharing Agreement and perform its obligations thereunder, and the parties hereto acknowledge that the Collateral Sharing Agreement is binding upon them. Each Lender (a) hereby agrees that it will be bound by the provisions thereof as if it were a signatory thereto and will take no actions contrary to the provisions of the Collateral Sharing Agreement, (b) hereby authorizes and instructs the Administrative Agent to enter into the Collateral Sharing Agreement as well as any amendment and restatement thereof at the request of the Parent Borrower to permit additional tranches of Permitted Debt Exchange Notes to be added pursuant to Section 2.18(a)(xiii) on the same basis as the Permitted Debt Exchange Notes issued on the Amendment No. 1 Effective Date in connection with the Initial Permitted Debt Exchange, which amendment and restatement may include other ministerial changes made thereto as are reasonably satisfactory to the Administrative Agent and are not materially adverse to the Lenders, and (c) agrees that none of the Lenders or any other Secured Party shall have any right of action whatsoever against the Administrative Agent as a result of any action taken by the Administrative Agent pursuant to this paragraph or in accordance with the terms of the Collateral Sharing Agreement.
Collateral Sharing Agreement. Reference is hereby made to the Collateral Sharing Agreement. Anything in this Security Agreement, the Indentures or the Credit Agreement to the contrary notwithstanding, the terms and conditions of the Collateral Sharing Agreement shall govern the relative rights and obligations of the Trustee and the Administrative Agent, each Lender and each Letter of Credit Issuer (together with their respective successors and assigns) under the Credit Agreement

Collateral Sharing Agreement. Upon entering into this Agreement RBI shall deliver to OLB the Intercreditor and Collateral Sharing Agreement, in the form attached hereto as Exhibit F, executed by the Persons listed in Exhibit C (except those Persons set forth on RBI Disclosure Schedule 5.7(a)(vi), who will deliver their executed signature pages to the Intercreditor and Collateral Sharing Agreement within 15 days of the execution date of this Agreement), which shall give OLB an equal first priority security interest in Regal’s common stock as collateral for the RBI Loan.

Collateral Sharing Agreement. Notwithstanding anything herein to the contrary, the lien and security interest granted to the Collateral Agent pursuant to this Security Agreement and the exercise of any right or remedy by the Collateral Agent hereunder are subject to the provisions of the Collateral Sharing Agreement. In the event of any conflict between the terms of the Collateral Sharing Agreement and this Security Agreement, the terms of the Collateral Sharing Agreement shall govern.
