Company Review and Approval. Company will at all times have the right of approval over all key production, editorial and creative decisions, including, without limitation, stories, selection of subject groups and subcultures, production plans, talent, key crew, key Series location and location agreements, executive producers, showrunners, directors, credits, budgets, scheduling, above the line personal service contract terms and guild agreement terms, if any (collectively, the “Key Elements”). Notwithstanding the foregoing, Producer shall be solely and independently responsible for the hiring, termination, suspension, work assignments, transfer, discipline, direction of the workforce, and compensation and benefits, if applicable, for all personnel involved in the Series. Producer will deliver rough cuts and fine cuts for Company’s review, input and ultimate approval. Provided that the rough cuts and final cuts delivered by Producer are produced in accordance with the approved Key Elements, Company will not request changes that will result in substantial expenditures of time or money with respect to any Episode without negotiating a good faith budget increase for such Episode. All approvals required by this Agreement will be exercised in a reasonable and timely manner in accordance with the Budget (as defined herein) and the Delivery Schedule. The exercise of Company’s approval rights hereunder shall not diminish or otherwise affect Producer’s representations, warranties and/or indemnities as set forth in this Agreement.

Company Review and Approval. (i)Bank shall submit to Company any Program Marketing Communications designed or produced by Bank for prior review and approval of their design, form and marketing content and the use of the Company Marks, other than those aspects required by Bank for compliance with Bank Applicable Law, and subject to the Bank Design Specifications; provided, that the Parties may adopt reasonable procedures for pre-approval of materials used on a recurring basis so long as such preapproved communications are not revised. Company shall use commercially reasonable efforts to review such Program Marketing Communications and reply in writing to the Bank Program Manager within ten (10) Business Days of receipt of any Program Marketing Communications by the Company Program Manager as to whether the design and look and feel of such communications are approved or require changes as reasonably determined by Company.
Company Review and Approval. Unless otherwise expressly agreed to in this Agreement, Company review and final approval of all documentation, reports, manuals, plans, etc. developed by Consultant pursuant to the terms of this Agreement, shall be required prior to the use, release and/or dissemination of same to any third parties by Consultant. Such final approval shall be in the sole and absolute discretion of Company.

  • Review and Approval Documents specified above must be submitted for review and approval by CITY Purchasing and Contracts prior to the commencement of work by CONTRACTOR. Neither approval by CITY nor failure to disapprove the insurance furnished by CONTRACTOR shall relieve CONTRACTOR of CONTRACTOR’S full responsibility to provide the insurance required by this Contract. Compliance with the insurance requirements of this Contract shall not limit the liability of CONTRACTOR or its sub-contractors, employees or agents to CITY or others, and shall be in addition to and not in lieu of any other remedy available to CITY under this Contract or otherwise. CITY reserves the right to request and review a copy of any required insurance policy or endorsement to assure compliance with these requirements.

  • Performance Reviews The Employee will be provided with a written performance appraisal at least once per year and said appraisal will be reviewed at which time all aspects of the assessment can be fully discussed.

  • Performance Review Where a performance review of an employee’s performance is carried out, the employee shall be given sufficient opportunity after the interview to read and review the performance review. Provision shall be made on the performance review form for an employee to sign it. The form shall provide for the employee’s signature in two (2) places, one (1) indicating that the employee has read and accepts the performance review, and the other indicating that the employee disagrees with the performance review. The employee shall sign in only one (1) of the places provided. No employee may initiate a grievance regarding the contents of a performance review unless the signature indicates disagreement. An employee shall, upon request, receive a copy of this performance review at the time of signing. An employee’s performance review shall not be changed after an employee has signed it, without the knowledge of the employee, and any such changes shall be subject to the grievance procedure of this Agreement. The employee may respond, in writing, to the performance review. Such response will be attached to the performance review.

  • Presentation of Potential Target Businesses The Company shall cause each of the Initial Shareholders to agree that, in order to minimize potential conflicts of interest which may arise from multiple affiliations, the Initial Shareholders will present to the Company for its consideration, prior to presentation to any other person or company, any suitable opportunity to acquire an operating business, until the earlier of the consummation by the Company of a Business Combination or the liquidation of the Company, subject to any pre-existing fiduciary obligations the Initial Shareholders might have.
