Compensation as a Director. The Employee will be compensated for attendance at regular and special Board meetings at the rate established for Board members.

Compensation as a Director. In the event the Employee is elected a director of Employer during the Term hereof, the Employee will not be compensated for attendance at regular and special Board meetings.
Compensation as a Director. So long as the Service Provider shall serve as a director of the Company, the Company shall pay him a director’s fee of $1,500 per month for all services provided as a director of the Company, including attendance at regular or special meetings of the Board of Directors, but excluding out-of-pocket expenses incurred by the Service Provider for travel or other related expenses as a director, commencing with a payment on September 1, 2011.
Compensation as a Director. Executive shall waive all cash compensation as a member of the Board to which he is entitled during the period of his Board service from September 2, 2009 until the date this Agreement is executed, as provided in the directors’ compensation plan. Executive shall resign from the Board effective as of the date this Agreement is executed.
Compensation as a Director. Executive shall be entitled to all cash compensation as a member of the Board to which he is entitled through the Separation Date as provided in the directors compensation plan. Options and restricted stock received as a member of the Board are governed by Section 4 above.
