Board Service definition

Board Service means membership on the Board of Directors of the Company or a Subsidiary and includes subsequent service as an Employee, if any, as provided in this paragraph. Notwithstanding any contrary provision or implication herein, in determining cessation of Board Service for purposes hereof, transfers between the Boards of Directors of the Company and/or any Subsidiary shall be disregarded and shall not be considered a cessation of Board Service, and changes in status between that of an Employee and a Non-Employee Director shall be disregarded and shall not be considered a cessation of Board Service.
Board Service means all years of employment or part years of employment pro-rated to full-time equivalency (but excluding substitute service) with the Board or such recognized service with an immediately preceding school board for which the Board has become the successor Board.
Board Service means service as an Outside Director of the Corporation both before and after the Effective Date.

  • The granting of the Restricted Shares evidenced by this Agreement shall impose no obligation on the Company or any Affiliate to continue the Board Service of the Participant and shall not lessen or affect the Company’s or its Affiliate’s right to terminate the Board Service of such Participant.

  • When a job description calls for years of experience under a licensed contractor, relevant experience in a School Board Service Center will be considered as equivalent experience.

  • Notwithstanding the Policy on Board Service contained in the Employee Policy Manual, during the six-month period preceding the Scheduled Expiration Date, Executive shall, upon reasonable notice to and absent objection by the Chief Executive Officer of the Company, be entitled to explore opportunities for service on the board of directors of any public company that is not a Designated Business, as such term is defined in the Consulting Agreement (Exhibit A, attached hereto).

Board Service means the service of Director as a member of the Board of Directors of the Company or any of its Subsidiaries.

During this period you will not receive any additional compensation for your service on the Board.
