Compensation; No Employment. (a) Each Manager shall be reimbursed for his reasonable out-of-pocket expenses incurred in the performance of his duties as a Manager, pursuant to such policies as from time to time established by the Board. Nothing contained in this Section 8.07 shall be construed to preclude any Manager from serving the Company in any other capacity and receiving reasonable compensation for such services.

(a) Each Director and Alternate Director shall be reimbursed for his or her reasonable out-of-pocket expenses incurred in the performance of his or her duties as a Director or Alternate Director, as applicable, pursuant to such policies as from time to time established by the Board. Nothing contained in this Section 8.8 shall be construed to preclude any Director or Alternate Director from serving the Company in any other capacity and receiving reasonable compensation for such services.

Each Manager shall be entitled to reimbursement from the Company for his reasonable and necessary out-of-pocket expenses incurred in the performance of his duties as a Manager, pursuant to such policies as may from time to time be established by the Board.

Nothing contained in this Section 7.1(f) shall be construed to preclude any Director from serving the Company or Calavo in any other capacity and receiving reasonable compensation for such services.

This Agreement does not, and is not intended to, confer upon any Manager any rights with respect to continued employment by the Company, and nothing herein should be construed to have created any employment agreement with any Manager.
Compensation; No Employment. 7.10.1 Managers shall receive such compensation as may be approved by the Managers. Nothing contained in this Section 7.10 shall be construed to preclude any Manager from serving the Company in any other capacity and receiving reasonable compensation for such services.
