Compensation of Collateral Agent. As compensation for its Collateral Agent activities hereunder, the Collateral Agent shall be entitled to fees pursuant to the Collateral Agent, Document Custodian, Collateral Administrator and Intermediary Fee Letter and any other reasonable and documented out-of-pocket fees, expenses (including reasonable and documented out-of-pocket fees, costs and expenses of agents, experts and attorneys) and indemnity amounts payable by the Borrower or the Collateral Manager to the Collateral Agent under the Facility Documents.
Compensation of Collateral Agent. The fee payable to Collateral Agent for services performed pursuant to this Agreement shall be 1.5 basis points of the value of Existing Collateral and Authorized Investments. Fees and interest on advances shall be accrued or charged daily, as appropriate, and shall be invoiced and payable monthly in arrears.
Compensation of Collateral Agent. The Collateral Agent shall be entitled to compensation for performing its duties hereunder in accordance with Exhibit E attached hereto and shall be further entitled to reimbursement of all reasonable expenses incurred by it in connection with this Agreement, including, without limitation, the expenses set forth in Section 8. Such compensation and expenses shall be borne by the Pledgor. Failing payment of any compensation and reimbursement of the Collateral Agent, the Collateral Agent shall be entitled to deduct such compensation
Compensation of Collateral Agent. All compensation to Collateral Agent shall be paid by Holdings to Collateral Agent in accordance with the terms set forth on Schedule 1 annexed hereto, and Holdings and Collateral Agent agree that the Development Banks shall not have any liability therefor.
Compensation of Collateral Agent. The Pledgors shall pay to the Collateral Agent from time to time reasonable compensation for its services hereunder as shall be agreed in writing between the Collateral Agent and the Parent. To the extent permitted by law, the Collateral Agent's compensation shall not be limited by any law on compensation of a trustee of an express trust. The Pledgors shall reimburse the Collateral Agent promptly upon request for all reasonable disbursements, advances and expenses incurred or made by it in addition to the compensation for its services. Such expenses shall include the reasonable compensation, disbursements and expenses of the Collateral Agent's agents and counsel. The provisions of this Section 14 shall survive the termination of this Agreement and the resignation or removal of the Collateral Agent.
Compensation of Collateral Agent. 3.7.1 In consideration of and as compensation for all services rendered by the Collateral Agent pursuant to this Agreement and the Consolidated Transaction Documents, the fees set out in Schedule "B" shall be payable to the Collateral Agent by the Credit Parties.
Compensation of Collateral Agent. 3.1. Collateral Agent shall be entitled to reasonable compensation as well as reimbursement for its reasonable costs and expenses incurred in connection with the performance by it of services under this Agreement (including reasonable fees and expenses of Collateral Agent's counsel). Each of the undersigned parties, with the exception of Collateral Agent, hereby jointly and severally bind and obligate themselves to pay to Collateral Agent the compensation and reimbursement to which it is entitled and further agree that Collateral Agent shall have a lien on the assets of the Escrow Account for payment of its fees and expense from the assets of the Escrow Account if they are not otherwise paid and without judicial action to foreclose the said lien. Collateral Agent's fee is as provided in Exhibit B to this Agreement.
