Competing Lines of Business. RELATED-PARTY TRANSACTIONS. Neither the Seller nor any other affiliate of the Company owns, directly or indirectly, any interest in, or is an officer, director, employee or consultant of or otherwise receives remuneration from, any business which is a competitor, lessor, lessee, customer or supplier of the Company, except for ownership of less than 1% of the outstanding capital stock of any publicly traded company in which such person has no management or other similar position. Neither the Stockholder nor any officer or director of the Company has any interest in any property, real or personal, tangible or intangible, used in or pertaining to the Company's business.
Competing Lines of Business. Except as set forth in Section 3.15 of the Seller Disclosure Schedule, to the knowledge of the Seller, neither DQE, the Seller nor any Subsidiary of the Seller is, or owns, indirectly or directly, any interest in any other business which is a competitor of the Company.

Qualified Solution Provider agrees to show, on an annual basis, that the Whole Building Retrofit Solution is receiving the needed resources and the attention within the company and this business line is not in direct competition for necessary company resources with other company products or resources.

Except as set forth in Appendix 2.1(v) to the Sellers' Disclosure Letter, no Affiliate of Seller Corp. owns, directly or indirectly, any interest in (excepting not more than a 5% holding for investment purposes in securities of publicly held and traded companies), or is an officer, director, employer or consultant of or otherwise receives remuneration from, any Person which is, or is engaged in business as, a competitor, lessor, lessee, customer or supplier of Seller Corp. Seller Corp. does not have, and no officer or director or stockholder of Seller Corp. or any Affiliate of Seller Corp. has nor, during the period beginning January 1, 1993 through, to and including the date hereof, had any interest in any property, real or personal, tangible or intangible, used in or pertaining to the Business. None of the Sellers has any claim against Seller Corp. except as set forth in Appendix 2.1(v) to the Sellers' Disclosure Letter.

None of the shareholders of Seller have any claims or rights against Seller which might affect the Assets or Rigs, except as set forth in Appendix 2.01(S) to Seller's Disclosure Letter.
