Common use of Complaint Handling Clause in Contracts

Complaint Handling. Connetics shall have the sole right and responsibility, and shall bear all costs related thereto, to take such actions as may be necessary, in accordance with accepted business practices and legal requirements, to obtain and maintain the authorization and/or ability to market the Product in the Territory, including without limitation the following: (a) responding to customer and medical complaints relating to the quality, strength or purity of the Product, and MGI agrees that it shall promptly refer any such complaints that it receives to Connetics; (b) handling all returns of the Product (if the Product is returned to MGI it shall be shipped to Connetics at a location to be provided by Connetics, with any reasonable or authorized shipping or other documented out-of-pocket costs to be paid by Connetics), and MGI and Connetics shall each advise their customers generally that they should make returns to Connetics; and (c) handling all recalls of the Product (at Connetics' request, MGI will assist Connetics in receiving the recalled Product, and any documented out-of-pocket costs incurred by MGI with respect to participating in such recall shall be reimbursed by Connetics).
