Completion Working Capital. 1. The amount of Completion Working Capital of the Company and BDDG shall be calculated as of the close of business on the Completion Date, but shall not give effect to the consummation of the transactions contemplated by this Agreement or any financing transactions in connection therewith.
Completion Working Capital. No matter shall be the subject of a claim under the Warranties (other than the Tax Warranties) to the extent that specific allowance, provision or reserve in respect of such matter shall have been included in the calculation of the Completion Working Capital.
