Compliance with Exchange Requirements. The entering into and the performance of the transactions contemplated herein do not require any consent, approval, authorization or order of any court or governmental agency or body, except that which may be required under Applicable Securities Laws or stock exchange requirements, including, without limitation, the TSX-V, and that will be obtained prior to the Time of Closing.

Compliance with Exchange Requirements. (a) The Vendors will promptly comply with all reasonable conditions and requirements of the Exchange. (b) If the Exchange or any other regulatory authority having jurisdiction shall prevent the closing of the Acquisition contemplated in this Agreement, neither the Purchaser nor its directors, officers, legal counsel, servants or agents shall in any way be liable to any of the Vendors in respect of any damages or losses suffered by them as a result of such failure to give their approval if the Purchaser has used, with all due diligence and in good faith, its best efforts to obtain the approval of such regulatory authorities. (c) The parties acknowledge that the Purchaser is required to prepare and file certain documents with the Exchange, including the Filing Statement, in order to obtain the required approvals for the completion of a Qualifying Transaction. The parties agree to facilitate such preparations and filings and the Vendors agree to provide all such documentation as may be necessary or deemed desirable to obtain such approvals and will assist in the preparation of such documents, including the Filing Statement.
Compliance with Exchange Requirements. The Shares are registered pursuant to Section 12(b) of the Exchange Act, and the Company has taken no action designed to, or which to its knowledge is likely to have the effect of, terminating the registration of the Shares pursuant to the Exchange Act nor has the Company received any notification that the Commission is currently contemplating terminating such registration. The Shares are currently listed on (i) the NYSE MKT under the trading symbol “BTG” and (ii) the TSX under the trading symbol “BTO”. The Company has not, in the twelve (12) months preceding the date hereof, received any notice from any Person to the effect that the Company is not in compliance with the rules and regulations of the NYSE MKT or the TSX. The Company is, and has no reason to believe that it will not in the foreseeable future continue to be, in compliance with the rules and regulations of the NYSE MKT and the TSX.
Compliance with Exchange Requirements. (A) Exito Energy is in material compliance with all policies and requirements of the Exchange, including without limitation the CPC Policy, and has not carried on any business or activities except as permitted by the CPC Policy. (B) Exito Energy does not own or have any interest in any asset or property of any kind whatsoever, other than cash or deposits with financial institutions, and Exito Energy does not have an Agreement in Principle (as “Agreement in Principle” is defined in the CPC Policy), other than the Arrangement Agreement. (C) Exito Energy has undertaken no business since the date of its incorporation, except as permitted by the CPC Policy. (D) Exito Energy has not made and will not make any payments which are prohibited by the CPC Policy (except as may be permitted by the Exchange). (E) The Exito Energy Common Shares are traded on the Exchange under the trading symbol “EXI.P” but trading has been halted since November 13, 2014 pending completion of a qualifying transaction in accordance with the CPC Policy.
Compliance with Exchange Requirements. The Common Shares are traded on the TSX- V under the trading symbol “DCMC”. The Corporation is in compliance, in all material respects, with the rules and policies of the TSX-V.

  • Compliance with Requirements Any investment program furnished, and any activities performed, by the Manager or by a Sub-Adviser under this Section shall at all times conform to, and be in accordance with, any requirements imposed by: (1) the Act and any rules or regulations in force thereunder; (2) any other applicable laws, rules and regulations; (3) the Declaration of Trust and By-Laws of the Fund as amended from time to time; (4) any policies and determinations of the Board of Trustees of the Fund; and (5) the fundamental policies of the Fund, as reflected in its Registration Statement under the Act or as amended by the shareholders of the Fund.

  • Compliance with Standards Although the standards for workmanship, material, and equipment have been selected in these specifications as a basis of reference, standards and specifications of the other bank member countries and recommendations of standards international organizations will be acceptable provided they are substantially equivalent to the designated standards and provided furthermore that the contractor submits for approval detailed specifications which he proposes to use. Reference to brand names or catalog numbers if any in these specifications have been made only for that equipment for which it has been determined that a degree of standardization is necessary to maintain certain essential features. And in certain cases such references have also been made for purposes of convenience to specify the requirements, in either case offers of alternative goods, which have similar characteristics and provide performance and quality at lease equal to those specified are acceptable. If the contractor offers materials, equipment, design calculations or tests, which conform to standards other than those specified, full details of the differences between the proposed standards and that specified in so far as they affect the design or purpose of the equipment, are to be supplied by the contractor if called upon to do so by the engineer, where required by the engineer for approval purposes, the contractor shall supply, without charge, duplicate copies of the proposed standards with English translations of the relevant portions. The contractor shall have available in his place of business (or in his supplier’s works) the relevant copies of standards or codes used for the use of the Engineer.

  • Compliance with Timing Requirements of Regulations In the event the Partnership is "liquidated" within the meaning of Regulations Section 1.704-1(b)(2)(ii)(g), distributions shall be made pursuant to this Article 13 to the General Partner and Limited Partners who have positive Capital Accounts in compliance with Regulations Section 1.704-1(b)(2)(ii)(b)(2). If any Partner has a deficit balance in his or her Capital Account (after giving effect to all contributions, distributions and allocations for the taxable years, including the year during which such liquidation occurs), such Partner shall have no obligation to make any contribution to the capital of the Partnership with respect to such deficit, and such deficit shall not be considered a debt owed to the Partnership or to any other Person for any purpose whatsoever, except to the extent otherwise agreed to by such Partner and the General Partner. In the discretion of the Liquidator or the General Partner, a pro rata portion of the distributions that would otherwise be made to the General Partner and Limited Partners pursuant to this Article 13 may be: A. distributed to a trust established for the benefit of the General Partner and Limited Partners for the purposes of liquidating Partnership assets, collecting amounts owed to the Partnership, and paying any contingent or unforeseen liabilities or obligations of the Partnership or of the General Partner arising out of or in connection with the Partnership. The assets of any such trust shall be distributed to the General Partner and Limited Partners from time to time, in the reasonable discretion of the Liquidator or the General Partner, in the same proportions and the amount distributed to such trust by the Partnership would otherwise have been distributed to the General Partner and Limited Partners pursuant to this Agreement; or B. withheld to establish any reserves deemed necessary or appropriate for any contingent or unforeseen liabilities or obligations of the Partnership; and to reflect the unrealized portion of any installment obligations owed to the Partnership; provided that, such withheld amounts shall be distributed to the General Partner and Limited Partners as soon as practicable.

  • Compliance with ERISA Requirements For purposes of ensuring compliance with the requirements of the "underwriter's exemption" (U.S. Department of Labor Prohibited Transaction Exemption 2000-58, 65 Fed. Reg. 67765 (Nov. 13, 2000)), issued under ERISA, and for the avoidance of any doubt as to the applicability of other provisions of this Agreement, to the fullest extent permitted by applicable law and except as contemplated by this Agreement, (1) the Trust shall not be a party to any merger, consolidation or reorganization, or liquidate or sell its assets and (2) so long as any Certificates are outstanding, none of the Company, the Trustee or the Delaware Trustee shall institute against the Trust, or join in any institution against the Trust of, any bankruptcy or insolvency proceedings under any federal or state bankruptcy, insolvency or similar law.
