COMPLIANCE WITH LAWS; NO LITIGATION. Apple is in compliance with all Governmental Requirements applicable to it, and no Litigation is pending or, to the knowledge of Apple, threatened to which Apple is or may become a party which (a) questions or involves the validity or enforceability of any obligation of Apple under any Transaction Document, (b) seeks (or reasonably may be expected to seek) (i) to prevent or delay consummation by Apple of the transactions contemplated by this Agreement to be consummated by Apple or (ii) damages from Apple in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. To the knowledge of RW, it is in compliance with all Governmental Requirements applicable to it. No Litigation is pending or, to the knowledge of RW, threatened to which RW is or may become a party which (a) questions or involves the validity or enforceability of any obligation of RW under any Transaction Document, (b) seeks (or reasonably may be expected to seek) to prevent or delay consummation by RW of the transactions contemplated by this Agreement to be consummated by RW.
COMPLIANCE WITH LAWS; NO LITIGATION. Each of Invatec and Invatec Sub is in compliance with all Governmental Requirements applicable to it (except to the extent that such any noncompliance would not be reasonably anticipated to result in a Material Adverse Effect), and no Litigation is pending or, to the knowledge of Invatec, threatened to which Invatec or Invatec Sub is or may become a party which (a) questions or involves the validity or enforceability of any obligation of Invatec or Invatec Sub under any Transaction Document, (b) seeks (or reasonably may be expected to seek) (i) to prevent or delay consummation by Invatec or Invatec Sub of the transactions contemplated by this Agreement to be consummated by Invatec or Invatec Sub, or (ii) damages from Invatec or Invatec Sub in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. Each of WORK and Newco is in compliance with all Governmental Requirements applicable to it, and no Litigation is pending or, to the knowledge of WORK, threatened to which WORK or Newco is or may become a party which questions or involves the validity or enforceability of any obligation of WORK or Newco under any Transaction Document, or which seeks (or reasonably may be expected to seek) (a) to prevent or delay consummation by WORK or Newco of the transactions contemplated by this Agreement to be consummated by WORK or Newco, as the case may be, or (b) Damages from WORK or Newco in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. Each of ARS and Newco is in compliance with all Governmental Requirements applicable to it, and no Litigation is pending or, to the knowledge of ARS, threatened to which ARS or Newco is or may become a party which (a) questions or involves the validity or enforceability of any obligation of ARS or Newco under any Transaction Document, (b) seeks (or reasonably may be expected to seek) (i) to prevent or delay consummation by ARS or Newco of the transactions contemplated by this Agreement to be consummated by ARS or Newco, as the case may be, or (ii) damages from ARS or Newco in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. It is in compliance with all applicable laws, rules, regulations and orders of Governmental Authorities and there are no actions, suits or legal, governmental or arbitration proceedings pending to which it is a party, affecting it or to which any of its property or assets is subject, and to the best of its knowledge, no such proceedings are threatened or contemplated by any Person.
COMPLIANCE WITH LAWS; NO LITIGATION. Each of Purchaser and Newco is in compliance with all Governmental Requirements applicable to it, and no Litigation is pending or, to the knowledge of Purchaser, threatened to which Purchaser or Newco is or may become a party which questions or involves the validity or enforceability of any obligation of Purchaser or Newco under any Transaction Document, or which seeks (or reasonably may be expected to seek) (a) to prevent or delay consummation by Purchaser or Newco of the transactions contemplated by this Agreement to be consummated by Purchaser or Newco, as the case may be, or (b) Damages from Purchaser or Newco in connection with any such consummation.

Each of Purchaser and Merger Sub is in compliance with all Governmental Requirements applicable to it, and no Litigation is pending or, to the knowledge of Purchaser, threatened to which Purchaser or Merger Sub is or may become a party which questions or involves the validity or enforceability of any obligation of Purchaser or Merger Sub under any Transaction Document, or which seeks (or reasonably may be expected to seek) (a) to prevent or delay consummation by Purchaser or Merger Sub of the transactions contemplated by this Agreement to be consummated by Purchaser or Merger Sub, as the case may be, or (b) Damages from Purchaser or Merger Sub in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. To the knowledge of RW, each of RW and Newco is in compliance with all Governmental Requirements applicable to it. No Litigation is pending or, to the knowledge of RW, threatened to which RW or Newco is or may become a party which (a) questions or involves the validity or enforceability of any obligation of RW or Newco under any Transaction Document, (b) seeks (or reasonably may be expected to seek) (i) to prevent or delay consummation by RW or Newco of the transactions contemplated by this Agreement to be consummated by RW or Newco, as the case may be, or (ii) damages from RW or Newco in connection with any such consummation.
COMPLIANCE WITH LAWS; NO LITIGATION. To the best of ----------------------------------- Guards' knowledge, Guards has complied with all applicable laws, orders, rules and regulations promulgated by any federal, state, municipal or other governmental authority relating to the operation and conduct of the Dental Practices. To the best of Guards' knowledge, Guards has not received any notice of violation of any applicable regulation or law or requirement relating to the operation of the Dental Practices.
