Compliance with Sublease. Subtenant agrees that in the event there is any inconsistency between the terms and provisions hereof and the terms and provisions of the Sublease, the terms and provisions hereof shall be controlling.

Compliance with Sublease. The District and the Corporation hereby agree to faithfully observe and perform their respective covenants, conditions and requirements herein. The District shall not suffer or permit any default to occur hereunder, nor do or permit to be done in, upon or about the Demised Premises or any part thereof, anything that might in any way weaken, diminish or impair the operation of the Demised Premises. The District shall not do or permit anything to be done, or omit or refrain from doing anything, in any case where any such act done or permitted to be done, or any such omission of or refraining from action, would or might be a ground for cancellation or termination of the Sublease.‌
Compliance with Sublease. Subject to the exclusions set out in Subsection 9.1 above, Sub-subtenant agrees to be bound by and to fully comply with all obligations of Sub-sublandlord as subtenant under the Sublease, except to the extent that this Sub-sublease expressly requires Sub-sublandlord to perform any obligations of subtenant under the Sublease.
Compliance with Sublease. SCAI has provided the Company with a copy of the Sublease and the Company acknowledges receipt thereof. Each of SCAI and the Company hereby agrees not to take any action or fail to take any action in connection with its use of the Premises a result of which would be SCAI's violation of any of the terms and conditions of the Sublease, the provisions of which hereby are incorporated by reference. The Company agrees to comply with the terms and provisions (other than with respect to payment of monies) of the Sublease with respect to its use of the Premises, it being understood, acknowledged and agreed, that the Company's obligations to make payments on account of rent, additional rent, or operating expense or common area maintenance surcharges with respect to the Premises shall be governed solely by the terms of this Agreement.

  • Compliance with Leases (i) Make all payments and otherwise perform all material obligations in respect of all leases of real property to which the Borrower or any of its Subsidiaries is a party, keep such leases in full force and effect and not allow such leases to lapse or be terminated or any rights to renew such leases to be forfeited or cancelled (except, in the case of the Borrower and Subsidiaries of the Borrower only, if in the reasonable business judgment of such Subsidiary it is in its best economic interest not to maintain such lease or prevent such lapse, termination, forfeiture or cancellation and such failure to maintain such lease or prevent such lapse, termination, forfeiture or cancellation is not in respect of a Qualifying Ground Lease or an Operating Lease of an Unencumbered Asset and could not otherwise reasonably be expected to result in a Material Adverse Effect), notify the Administrative Agent of any default by any party with respect to such leases and cooperate with the Administrative Agent in all respects to cure any such default, and cause each of its Subsidiaries to do so.

  • Compliance with FCPA Each of the Credit Parties and their Subsidiaries is in compliance with the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq., and any foreign counterpart thereto. None of the Credit Parties or their Subsidiaries has made a payment, offering, or promise to pay, or authorized the payment of, money or anything of value (a) in order to assist in obtaining or retaining business for or with, or directing business to, any foreign official, foreign political party, party official or candidate for foreign political office, (b) to a foreign official, foreign political party or party official or any candidate for foreign political office, and (c) with the intent to induce the recipient to misuse his or her official position to direct business wrongfully to such Credit Party or its Subsidiary or to any other Person, in violation of the Foreign Corrupt Practices Act, 15 U.S.C. §§ 78dd-1, et seq.

  • COMPLIANCE WITH U S. SECURITIES LAWS. Notwithstanding any terms of this Receipt or the Deposit Agreement to the contrary, the Company and the Depositary have each agreed that it will not exercise any rights it has under the Deposit Agreement or the Receipt to prevent the withdrawal or delivery of Deposited Securities in a manner which would violate the United States securities laws, including, but not limited to Section I A(1) of the General Instructions to the Form F-6 Registration Statement, as amended from time to time, under the Securities Act of 1933.
