The respective obligations of each Party to consummate the transactions contemplated by this Agreement are subject to the satisfaction or waiver by all Parties at or prior to the Closing of the following condition: no restraining order, preliminary or permanent injunction or other order, decision, opinion, decree or ruling issued by a court of competent jurisdiction or other Governmental Entity (“Order”) shall be in effect, and no Law shall have been enacted, entered or enforced since the date of this Agreement, preventing, or making illegal, the issuance and sale of the Purchased Preferred Shares and the consummation of the other transactions contemplated by this Agreement.
