Management Structure. Government and Consortium are bound to each other by a duty of good faith and best effort in achieving the goals of the project.
1. The Consortium Management Committee (CMC) is responsible for the overall management of the Consortium including technical, programmatic, reporting, financial and administrative matters.
2. The DOE/NNSA Project Officer provides collaboration and fully participates in technical and project status meetings of the CMC. Other Government personnel as deemed appropriate by the Government may also participate in technical and project status meetings.

The senior management staff of the Company shall be appointed and replaced by the Board, and their terms of office shall be terms considered as appropriate by the Board.

(a) The management organization of the Company shall consist of the following senior managers (the “Senior Managers”): one CEO, one Chief Financial Officer (the “CFO”) and such other officers that the Board may designate from time to time as being necessary for the operation of the Company.

Management Structure. 13.1 The Joint Venture company shall set up operation management structure and stipulate clauses and conditions of offering management service thereof as well as the regulations employed by the management.
13.2 The Joint Venture shall one General Manager as leader, who shall be appointed by and responsible to the Board of Directors. The Joint Venture shall have one Deputy Manager, one accountant and departmental managers, all of whom are appointed by the Board of Directors and responsible to the General Manager.
13.3 The duty of the General Manager shall be to organize and supervise the day-to-day management of the Joint Venture company and to carry out the resolutions of the Board of Directors.
13.4 Unless approved by the Board of Directors of the Joint Venture company, the General Manager and all the other management personnel shall not work as the managers in other companies or corporations, nor shall they be allowed to work as directors, consultant or be involved in any economic interests in other companies and corporations which are in commercial competition with the Joint Venture.
13.5 The basic organization structure, including the positions for management personnel who are not stipulated in the Contract shall be set up by the Joint Venture. The details of the organizational structure and the establishment of other positions except those of management personnel shall be determined by the Board of Directors.

2.4 Procedures by which the main functions of the NAO support office are implemented The Commission shall issue further clarification and guidance regarding the required documents, their format and their level of detail.
